Dear Sir/Madam,
With reference to above and pursuant to provisions of Regulation 33 and 30(6)(i) of SEBI Listing Regulations,
we hereby inform you that the Board of Directors of AVG Logistics Limited (the “Company”) at their meeting
held today i.e. August 14, 2026 has inter-alia approved the following:
1. Un-audited Financial Results, both Standalone and Consolidated, for the Quarter ended the June 30, 2026
("Financial Results") alongwith Limited review report issued on the Financial Results;
5 Recommendation of Final Dividend @ Re. 1.2/- per equity share for financial year ended the March 31,
2026. The payment is subject to the approval of the Shareholders at the ensuing Annual General Meeting
of the Company. Any further information in this regard including Book closure/record date will be
intimated in due course.
3. Board report (including annexures) of the Company for the Financial Year 2025- 26.
4. Notice of 17th Annual General Meeting of the Company to be held on Friday, September 25, 2026 at Bliss
and Blessing Banquet, Jhilmil, Delhi-110095 at 10:30 A M.
5. Appointment of M/s. Chauhan Pradeep and Associates, Company Secretaries as scrutinizer to scrutinize
the votes at 17th Annual General Meeting (AGM) of the Company.
6. Re-appointment of M/s AVVS and Co. LLP, Chartered Accountants as Internal Auditor of the Company
for the Financial 2026-27.
7. On the Recommendation of Nomination and Remuneration Committee, Continuation of Directorship of
Mr. Susheel Kumar Tyagi (DIN:06906354) as Independent Director of the Company post the age of 75
years subject to requisite approval at ensuing Annual General Meeting.
8. On the Recommendation of Nomination and Remuneration Committee, Appointment of Mr. Sumit Garg
(DIN:08746971) as an additional Director of the Company and Designated as Whole-Time Director for
period of 5 years w.e.f August 14, 2026, subject to requisite approvals at the ensuing Annual General
Meeting.

9. Increase in Authorised Share Capital of the Company from Rs. 21 Crore to Rs. 25 Crore consisting 2.5
Crore Equity Shares of face value of Rs. 10 each.
10. AVG Logistics Employees Stock Option Scheme — 2026 including issuance of stock options equal to or
exceeding 1% of the issued capital during any one year, to identified employees under the Scheme, subject
to requisite approval at ensuing Annual General Meeting of the Company.
e The Employee Stock Options (“Options”) Pool of the Scheme shall be 9,50,000 (Nine Lakhs
Fifty Thousand) Options (or such other adjusted figure for any bonus issue, right issue, stock
splits/sub-division of shares, consolidations of shares, merger, demerger, reconstitution, spin-off;
amalgamation, reclassification of capital or other reorganization of the capital structure of the
Company as may be applicable from time to time), exercisable into equal number of equity shares
off ace value Rs. 10/- each.
e The Scheme shall be administered by the Nomination and Remuneration Committee of the
Company and shall be implemented through direct route for extending the benefits to the
eligible employees by way of fresh allotment from the Company.
The details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/1/3762/2026 dated
January 30, 2026, is attached as Annexure-A.
