Dear Sir/ Madam,
We wish to inform you that the board of directors of Nectar Lifesciences Limited
(“Company”) in their meeting held on August 14, 2026, have, inter-alia, noted, decided and
approved the following matters:
1. The unaudited standalone and consolidated financial results for the quarter ended on
June 30, 2026, which are enclosed herewith along with the limited review reports of the
auditors thereon as Annexure- A;
2. Appointed Dr. Gunmala Suri (DIN: 11879344) as an Additional Director from August 15,
2026, till forthcoming Annual General meeting (“AGM”) as well as Non-Executive Non-
Independent Director subject to approval of members at the forthcoming AGM of the
Company with effect from August 15, 2026;
The requisite details regarding appointment of Director required under the LODR
Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026
dated January 30, 2026, and as amended upto date, are provided in Annexure- B.
3. To convene the 31st AGM of the members of the Company on Friday, September 18,
2026;
4. To close the register of members and share transfer books from September 12, 2026,
to September 18, 2026 (both days inclusive) for the purpose of AGM. Accordingly, the
cut-off date, to ascertain the eligibility of members for remote e-voting and polling/ e-
voting at AGM, is September 11, 2026, i.e., the date prior to the commencement of
book closure;
5. The re-appointment of Mr. Sanjiv Goyal (DIN: 00002841), director, who retire by
rotation, in the forthcoming AGM;
6. The proposal for appointment of Dr. Gunmala Suri (DIN: 11879344) as a regular director
as well as Non-Executive Non-Independent Director with effect from August 15, 2026,
