India Ltd Phiroze Jeejeebhoy Towers Exchange Plaza, Dalal Street, Plot No C-1, G Block, Mumbai-400001 Bandra- Kurla Complex, Scrip Code-509709 Bandra (East), Mumbai-400051 Symbol-INTLCONV Dear Sir, Subject: Intimation pursuant to Regulation 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and amendments thereof In continuance to our intimation submitted to Stock Exchanges on August 14, 2026 vide letter no ICL/DS/2026-27/331 and pursuant to Regulation 31A(8) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), we hereby inform you that, the request letters, dated August 14, 2026, received from Ms. Smiti Somany and Ms. Pushpa Bagla, (“applicants”) promoters seeking re-classification from the ‘Promoter and Promoter Group’ category shareholders to ‘Public’ category shareholders, was placed before the Board of Directors of the Company at their meeting held today i.e. Friday, August 14, 2026. The Board considered the request letters received from the above-mentioned promoters and noted that they are not, directly or indirectly, associated with the business of the Company and do not have any influence over the business and policy decisions made by the Company. Board also noted that the applicants are not involved in the day-to-day activities of the Company nor they are exercising any control over the affairs of the Company. The Board thereafter confirmed that the aforesaid persons seeking reclassification along with persons related thereto as defined under Regulation 2(I)(pp) of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018: a) do not hold more than ten percent of the total voting rights in the listed entity; b) do not exercise control over the affairs of the listed entity, directly or indirectly; c) do not have any special rights with respect to the listed entity through formal or informal arrangements including through any shareholder agreements; d) are not being represented on the board of directors (including not having a nominee director) of the listed entity; e) do not act as key managerial personnel of the listed entity; f) are not a ‘wilful defaulter(s)’ as per the Reserve Bank of India Guidelines; g) are not a fugitive economic offender. The Board further stated that the reclassification of the Applicants will not have any impact on the operations of the Company, or on the Board/ Management/ Shareholders of the Company. Accordingly, the Board approved the Applicants’ request for reclassification, subject to compliance with the requirements under Regulation 31A of the LODR Regulations, including obtaining approval from the shareholders, as may be required.
