(IST). At the outset being a virtual meeting the Moderator gave a general guidance to the Speaker Shareholders to participate in the meeting. The Moderator also informed that for the Members present at the venue, the Bank has arranged facility at the meeting venue to view the proceedings of the meeting and the ones who wish to speak (who have registered themselves as speaker shareholder or made a request at the venue). Shri; G. Mahalingam, Chairman of the Bank [DIN 09660723] then took the Chair and requested all the Members to join for prayer. 3. After prayer, the Chairman extended a warm welcome to all the Shareholders and informed that this meeting is being held through video conferencing mode as per the circulars issued by the Ministry of Corporate Affairs (MCA) and SEBI and that all Members attending the meeting are counted for the purpose of quorum pursuant to circulars issued by MCA and Section 103 of the Companies Act, 2013. 4. The information on quorum was ascertained and provided by the moderator from National Securities Depositories Limited [the e-voting seruice provider] and thereafter, the Chairman called the meeting to order. 5. The Chairman then introduced all the Directors fincluding Chairperson of Audit Committee and Stakeholders Relationship Committeel, Company Secretary, Chief Financial Officer, Statutory Auditors and the Secretarial Auditor and informed that all of them are participating from the scheduled venue. Thereafter, he requested the Company Secretary [CS] to provide general guidance to all members regarding participation in the meeting and the instructions were provided accordingly by the CS. 6. The Chairman then read out his speech and with the permission of members, the notice of the meeting together with Annual Report was taken as read. He then announced the session to be open for questions and answers, if any, by the members and requested the Moderator to proceed with the session. 7. The moderator then invited all the registered speakers (virtual attendees) one by one. The MD & CEO thereafter invited the registered speaker shareholders present at the venue to raise their queries and 3 members spoke at the venue. The Members appreciated the Bank for its overall performance during Fl 2026 and expressed their views on the services of the Bank in various financial and non-financial areas viz., Bank's growth, CSR, CASA and Capital adequary ratios, CAPEX, loan recoveries, Gold Loan, NPA numbers, Net Interest Margin, raised concerns on mule account and Bank's preparedness on the same,- future expansion plans, Bonus issue, Dividend, Corporate Governance practices, Annual Repoft presentation, Business Targets, Deposit Interest rate, MSME Targets, steps taken to reduce legal costs, impact of Artificial intelligence in banking industry, Cyber Security, Service strategy for branches in rural areas, branch expansion plans, increase in ATMs count Attrition rate, Insurance & Mutual funds, Employee benefits & productivity and other business aspects. The MD & CEO of the Bank before he begun to answer the queries he expressed his gratitude to all the Stakeholders for their conviction on him. He then responded to all the queries and comments raised by the members who participated through virtual mode and at the venue followed by the queries received from other shareholders through e-mail. He also informed that if some queries were left unanswered by him inadvertently, the shareholders can e-mail their queries to the Company Secretary and it would answered. He then thanked them on behalf of the Board for sharing their views and suggestions for the growth of the Bank. 10. Thereafter, the Chairman informed that pursuant to the provisions of the Companies Act 2013 and SEBI Listing Regulations, the Bank provided remote e-voting facility to its members for the business proposed in the AGM Notice through the platform provided by the NSDL, the e-voting seruice provider. The voting rights of the Members were reckoned based on the number of shares held by them as on the cut-off date i.e., Friday, August 7,2026. Shri. V. Sankar, Partner, KUVS Associates, Tiruchirappalli, Practicing Company Secretaries acted as the Scrutinizer for scrutinizing the entire e-voting process. The remote e-voting commenced on August I0, 2026 at 9:00 a.m. and concluded on August 13, 2026 at 5:00 p.m. The Chairman then informed that based on the scrutinizer's report, the voting results on the resolutions as set out in the Notice calling the AGM would be declared within the statutory time line and authorized the Company Secretary to declare the voting results, intimate the stock exchanges and place the same in the website of the Bank. 11. After the conclusion of all formal agenda, the Chairman thereafter presented the Bank's commemorative coffee table book on its 120 years journey, to 4 shareholders (including a senior most shareholder and former Part time Chairman present at the venue). He also informed that the Book is available in the Bank's website for all the shareholders. 12. The Moderator thereafter requested the former MD & CEO of the Bank Dr. N. Kamakodi [DIN 020396181 who serued the Bank till April 30, 2026, to deliver his speech. Dr. N. Kamakodi extended the vote of thanks to all the stakeholders including the Regulators and Statutory authorities, Directors on the Board of the Bank, all Shareholders, the Statutory Central Auditors, Page 2 of 3 Secretarial Auditors, all employees of the Bank for their support, during the 15 years of his successful tenure and conveyed his best wishes to the present MD & CEO for taking the Bank to greater heights of growth and glory. 13.
