Sub: Notice calling the Forty-Eighth Annual General Meeting and the Annual Report for the
Financial Year 2025-26
Pursuant to Regulations 30, 34 and 36 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, ('the Listing Regulations'), it is hereby informed that the Forty-Eighth Annual
General Meeting (AGM) of the Members of the Company will be held on Friday, September 11, 2026
at 10:30 A.M. (IST) through Video Conferencing/ Other Audio-Visual Means in compliance with the
applicable provisions of the Companies Act, 2013 ('the Act') read with the Rules made thereunder, the
Listing Regulations and various circulars issued in this regard by the Ministry of Corporate Affairs and
Securities and Exchange Board of India (SEBI).
A copy of the Notice convening the AGM ('Notice') is attached herewith alongwith the Annual Report
for the Financial Year 2025-26 ('Annual Report') and the same are being circulated through electronic
mode to the Members. (Attached as Annexure – A)
Additionally in compliance with Regulation 36(1)(b) of the Listing Regulations, please find attached
herewith, a copy of the letter which is being sent to those Members whose e-mail IDs are not registered
with the Company/ MUFG Intime India Private Limited – Registrar to an Issue and Share Transfer
Agent/ Depository Participants, providing the web-link of Company’s website from where the Annual
Report for the Financial Year 2025-26 and the Notice convening the Forty-Eighth AGM can be
accessed. (Attached as Annexure – B)
The Company has fixed, Friday September 4, 2026 as the "Cut-off date" for the purpose of determining
the Members eligibility to vote on the resolutions set out in the Notice
Copies of the said AGM Notice and the Annual Report are also being uploaded on the website of the
Company at https://www.cesc.co.in/home.

Shaping a Diversified
Power Portfolio Across India
Generation
CESC operates a 750 MW generating station at Budge Apart from plants catering to Kolkata operations,
Budge (BBGS) and a 135 MW generating station at CESC has built independent generation capacities
Garden Reach (Southern). In addition, Haldia Energy to benefit from the opportunities in the sector and
