Tel.: 0294 6651100, 2492451 55 I CIN: L24211RJ1946PLC000469 info@piind.com www.piindustries.com Summary of proceedings of the 79th Annual General Meeting ( AGM ) of PI Industries Limited The 79th AGM of PI Industries Limited ( the Company ) was held on Friday, August 14, 2026 at 10.30 a.m. (IST), through Video Conference ( VC ) / Other Audio-Visual Means ( OAVM ). Members present through VC / OAVM: 88 Mr. Narayan K Seshadri, Chairperson presided over the meeting and welcomed the members. The requisite quorum being present, the Chairperson called the meeting to order. The Chairperson informed the Members that the Company had provided the facility of two-way video conferencing of the proceedings of this AGM which could be viewed live by the members by logging on the website of the Registrar, KFin Technologies Limited ( Kfin ). The Chairperson introduced the Directors, the Chief Financial Officer and the Company Secretary. He informed that the authorized representatives of the Statutory Auditor, the Secretarial Auditor, the Cost Auditor and the Scrutinizer, were also present virtually for this meeting. It was informed that, there were no observations, qualifications or comments either by the Statutory Auditors, the Secretarial Auditor and the Cost Auditor in their respective reports having any adverse effect on the functioning of the Company and hence, their reports were not required to be read. With the permission of the shareholders, Notice convening this AGM was taken as read. The presence of the Chairperson of Audit Committee, Stakeholders Relationship Committee and Nomination & Remuneration Committee, was also confirmed. With the permission of the shareholders, the notice convening this AGM was taken as read. The Chairperson informed that all the relevant documents and registers referred in the Notice calling the AGM pursuant to the Companies Act, 2013 ( the Act ) read with Secretarial Standard on General Meetings were made available for inspection by the shareholder s electronically on the website of KFin, throughout the duration of the AGM proceedings. The Chairperson, then proceeded to address the shareholders on the performance of the Company for the financial year 2025-26 and the outlook for the next year. The same is enclosed herewith as Annexure- A. The Chairperson informed the members that item No. 1 to 9 of the Notice have been voted by the members through remote e-voting from August 10, 2026 to August 13, 2026. The members present at the meeting who have not participated in remote e-voting, were allowed to cast their votes using e-voting platform of KFin. It was informed that Mr. Ashish K Friends, Practicing Company Secretary, has been appointed by the Board of Directors of the Company as the Scrutinizer for scrutinizing the remote e-voting and e-voting process during the AGM in a fair and transparent manner. To confirm the payment of Interim Dividend of Rs. 5.00 per equity share Ordinary Resolution of face value of Re. 1.00 each and to declare Final Dividend of Rs. 10.00 per equity share of face value of Re. 1.00 each for the financial year ended March 31, 2026. 3. To appoint a director in place of Mr. Rafael Del Rio Donoso (DIN: Ordinary Resolution 08105128), who retires by rotation and being eligible, offers his candidature for re-appointment. SPECIAL BUSINESS 4. Non-filling of vacancy caused by retirement of Mr. Arvind Singhal (DIN: Ordinary Resolution 00092425), Non-Executive Non-Independent Director 5. Ratification of remuneration payable to Cost Auditor for the financial Ordinary Resolution year 2026-27 6. Remuneration payable to Mr. Rafael Del Rio Donoso (DIN: 08105128), a Ordinary Resolution Non-Executive Non-Independent Director of the Company 7. Appointment of Dr. Atul Kumar Gupta (DIN: 10087955) as a Director Special Resolution and Whole Time Director of the Company 8. Re-appointment of Mr. Shobinder Duggal (DIN: 00039580) as an Special Resolution Independent Director of the Company 9. Re-appointment of Ms. Pia Singh (DIN: 00067233) as an Independent Special Resolution Director of the Company The Chairperson informed the members that e-voting was kept open throughout the AGM and 15 minutes after the conclusion of the meeting.
