Manoranjan (DlN: 11882006 )as an Additional Director in the category of Non-Executive Independent Director of the Company w.e.f. 17th August 2026.The term of his appointment as an Independent Director will be for a period of 5 years and the appointment is subject to the approval of shareholders. Manoranjan will be a Non-Executive, Independent Director and he is not related to the Promoter or Promoter Group and fulfils the criteria of independence as required under the provisions of the Companies Act, 2013 and the Rules framed thereunder and the Listing Regulations. I Brief Profile Mr. R. Manoranjan, aged about 44 years, is a Fellow Member of the Institute of Company Secretaries of India and holds a Master's Degree in Commerce and a Bachelor's Degree in Law. He has over 15 years of extensive professional experience in corporate law, secretarial and legal matters, including Rights Issues, Private Equity, Public Offerings, Listing Compliances, FEMA, corporate governance, legal due diligence and advising on valuations. During his professional career, he has led and handled various legal and due diligence assignments relating to private equity transactions, rights issues and listing compliances. He has considerable exposure to listed companies and possesses extensive knowledge and experience in ensuring compliance with securities laws, corporate govemance requirements and regulatory frameworks. Prior to undertaking professional and freelance assignments, Mr. R. Manoranjan was associated with and served in various capacities, including as Company Secretary and Legal Professional, with reputed corporate groups such as the Panasonic Group, Tata Group and Cauvery Group. The Board is of the view that Mr. R. Manoranjan is a yowg, energetic, competent and experienced professional possessing the requisite knowledge, skills and expertise to effectively discharge the duties and responsibilities of an Independent Director of the Company. The Board considers that his extensive experience in corporate governance, legal and secretarial matters, regulatory compliances, would be of immense value and benefit to the Company. 6.
