C/1, G Block, Dalal Street, Fort, Bandra-Kurla Complex, Bandra (East) Mumbai- 400001 Mumbai - 400 051 Scrip Code : 534312 Symbol: MTEDUCARE Dear Sir / Madam, Sub: Regulation 30 – Disclosure regarding Approval of Matters by the Resolution Professional on August 14, 2026 and Delay in Submission of Financial Results We would like to inform you that MT Educare Limited (“Company”) is currently undergoing the Corporate Insolvency Resolution Process (“CIRP”) under the provisions of the Insolvency and Bankruptcy Code, 2016 (“Code”). The CIRP of the Company was initiated by the Hon’ble National Company Law Tribunal, Mumbai Bench (“NCLT”) vide its order dated 16th December, 2022 (“Admission Order”), pursuant to which Mr. Ashwin Bhavanji Shah was appointed as the Interim Resolution Professional (“IRP”). The Committee of Creditors (“CoC”) was constituted on 21st August, 2023. During the CIRP, Mr. Ashwin Bhavanji Shah was performing the functions of the Resolution Professional in accordance with the applicable provisions of the Code and the regulations made thereunder. Subsequently, pursuant to the order passed by the Hon’ble NCLT, Mumbai Bench, on an application filed by Prudent ARC, Mr. Arihant Nenawati was appointed as the Resolution Professional (“RP”) of the Company with effect from 22nd January, 2024. Upon admission of the Corporate Debtor into CIRP under the Code, the powers of the Board of Directors stand suspended and such powers are exercised by the Resolution Professional in accordance with the provisions of the Code. The management of the affairs of the Corporate Debtor is accordingly vested with the Resolution Professional. In this regard, the Company has made the requisite disclosures to the Stock Exchanges from time to time. Further, please refer to the disclosure made by the Company on 17th July, 2026, wherein the Company had informed the Stock Exchanges regarding certain material operational developments. The Company wishes to inform that it continues to face constraints in its finance and accounting functions, inter alia, consequent to significant employee attrition and the resultant limitation in availability of personnel familiar with the relevant financial records and processes. In view of the above, the process of collation, verification and finalisation of the requisite financial information and records, including their submission to and review by the Statutory Auditors is yet to be completed. Accordingly, the Limited Review in respect of the financial results for the quarter ended 30 June 2026 has not yet been completed and, consequently, the financial results are not presently in a position to be finalised and submitted to the Stock Exchanges. The Company, under the supervision of the Resolution Professional, is taking necessary steps to facilitate completion of the aforesaid processes, including coordination with the concerned Regd. The Company is making all reasonable efforts to ensure timely compliance with the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”). Further, since the powers of the Board of Directors of the Company stand suspended pursuant to commencement of the CIRP in terms of the Code, there is no duly constituted Board functioning in the Company during the CIRP. Accordingly, no meeting of the Board of Directors is being convened and, consequently, no disclosure pertaining to the “Outcome of Board Meeting” can be made which are approved by the Resolution Professional in accordance with the Code. In this regard, we hereby inform you that the Resolution Professional, Mr. Arihant Nenawati, has approved the following matters on 14th August, 2026: The Following matters were taken on record: 1) Directors Responsibility Statement for the year ended 31st March, 2026, Directors’ Report, Corporate Governance Report, reports/certificates forming part of Directors report, Stakeholders Information and took note of Secretarial Audit report along with Secretarial Audit report of Material Subsidiary Company for the FY. 2025-26 ended 31st March, 2026. 2) The Notice for convening of 20th Annual General Meeting (AGM) on Tuesday 22nd September, 2026 through Video Conferencing (VC)/Other Audio Visual Means (OVAM). 3) Re-appointment of Mr. Vipin Choudhary (DIN: 02090149), Non- Executive Director of the Company, who retires by rotation at the ensuing AGM and being eligible offered himself for reappointment and recommending the same to the shareholders of the Company. Mr. Vipin Choudhary has affirmed that he is not debarred from holding the office of Director by virtue of any SEBI order or any other authority and the same has been taken on record by the Board (Brief Profile Attached as Annexure I). 4) Appointment of Scrutinizer for the 20th Annual General Meeting to be held on Tuesday 22nd September, 2026. 5) Pursuant to section 91 of the Companies Act, 2013 and regulation 42 of SEBI (LODR) Regulations, 2015 the register of members & share transfer Books of the Company shall remain closed from Wednesday, 16th September, 2026 to Tuesday, 22nd September, 2026 (both days inclusive). for the purpose of 20th Annual General Meeting of the Company to be held on Tuesday 22nd September, 2026.
