Subject: Outcome of Board Meeting held on Friday, 14th August, 2026 and disclosure
under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015

With reference to the captioned subject and pursuant to the provisions of Regulation 30 of
the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (“SEBI Listing Regulations”) read with SEBI Circular No.
SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, we hereby inform you that the
Board of Directors of the Company at its meeting held on Friday, 14th August, 2026, inter
alia, considered and approved the following matters:
1. The Un-audited Financial Results of the Company for the quarter ended 30th June, 2026
along with the Limited Review Report issued by the Statutory Auditors of the Company. The
same are enclosed herewith.
2. Based on the recommendation of the Nomination, Remuneration and Compensation
Committee, the Board of Directors approved the re-appointment of Mr. Nipun Verma (DIN:
02923423) as the Whole-time Director (Key Managerial Personnel) of the Company for a
further period of 3 (Three) years commencing from 1st November, 2026 and ending on 31st
October, 2029 (both days inclusive), subject to the approval of the members of the Company
at the ensuing Annual General Meeting.
The requisite details as required under Regulation 30 of the SEBI Listing Regulations read
with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are
enclosed as Annexure I.
The meeting of the Board of Directors commenced at 03:30 p.m. and concluded at 04:15
p.m.

on record by the Board of Directors at its meeting held on August 14, 2026. The Financial results are in accordance with the Indian
Accounting Standards (IND AS) as prescribed under Section 133 of the Companies Act, 2013 read with rule 3 of the Companies (Indian
Accounting Standards) Rules, 2015 and Companies (Indian Accounting Standards) (Amendment Rules) 2016.
2 Financial results for quarter ended June 30, 2026 have been subjected to limited review by Statutory Auditors.

Figures of the previous period have been Re-classified/re-arranged/regrouped wherever necessary to make them comparable with
5 figures of the Current period ended June 30, 2026.
The outstanding advance given to and investment made in Frost International Limited have been written off during the year,
considering the resolution proceedings and the Resolution Plan approved by the National Company Law Tribunal, Mumbai Bench-I, vide
order dated 05.06.2026, in the matter of Bank of India vs. Frost International Limited. The amount has been considered irrecoverable
