Date: August 14, 2026 Corporate Relations Department Department of Corporate Services, BSE Limited, 25th Floor, Phiroze Jeejeebhoy Towers, Dalal Street, Mumbai – 400001 Reference: Script Symbol “PSTitania”; Scrip Code- 544462 Dear Sir/Madam, Sub: Disclosure under Regulation 23(5)(i) of the REIT Regulations, 2014– Provisional Assessment Order issued by MSEDCL under Section 126 of the Electricity Act, 2003 and Writ Petition before the Hon'ble Bombay High Court Pursuant to Regulation 23(5)(i) of the REIT Regulations, 2014, we wish to inform the Exchange that Maharashtra State Electricity Distribution Company Limited ("MSEDCL") has, by a Provisional Assessment Order dated July 20, 2026 passed under Section 126 of the Electricity Act, 2003 (“Act”) (“Order”), raised a demand of Rs. 46,27,38,062 (Rupees Forty-Six Crore Twenty-Seven Lakh Thirty-Eight Thousand and Sixty-Two only) against the G Corp Tech Park Condominium ("the Condominium"), of which Eranthus Developers Private Limited (“Company”) (SPV under PropShare Titania) -is a member, concerning the electricity supply arrangement at G Corp Tech Park. Details of the matter, are set out below: Particulars Details Maharashtra State Electricity Distribution Company Limited ("MSEDCL"), through its Name of authority Assessing Officer under the Electricity Act, 2003 Provisional Assessment Order under Section 126 of the Electricity Act, 2003, following Nature of action inspection by MSEDCL's Flying Squad on March 10, 2026 Date of order July 20, 2026 Rs. 46,27,38,062 — twice the applicable tariff under Section 126(6), for the period Amount involved September 2016 to April 2026 (approx. 116 months) Internal distribution of electricity to certain occupants of the park through submeters pending Alleged execution of Multi-Party Agreements ("MPAs") with MSEDCL, treated by MSEDCL as contravention unauthorised use Electricity to the park is drawn through a single sealed MSEDCL HT meter, read monthly and billed and paid in full at the applicable commercial tariff; there is no allegation of tampering, bypass or unmetered consumption. Regularisation of individual occupant connections through MPAs has been in progress, with MSEDCL's own knowledge and participation, since November 2022; 12 of the park's 16 occupants are already regularised, with the remaining 4 at the final execution stage. It is pertinent that the Order was issued on the Condominium and not the Company/PropShare Titania. On legal advice, the Condominium filed a Writ Petition before the Hon'ble High Court of Bombay on August 12, 2026 under Article 226 of the Constitution of India, seeking quashing of the Order, a stay of further proceedings before the Assessing Officer, and restraint on coercive recovery or disconnection, on grounds including breach of natural justice, procedural lapses in spot inspection report, the 12-month limitation prescribed under Section 126(5) of the Act as against the approx. 116-month period assessed, and estoppel arising from MSEDCL's own conduct in sanctioning and administering the arrangement, arbitrariness wherein the Condominium was singled out for penal assessment and no proof of loss or tampering. The matter is now sub-judice and electricity supply to the park continues uninterrupted. The demand is provisional and penal in nature, distinct from consumption charges, all of which stand paid. Based on legal advice, PropShare Titania does not consider any liability arising from this matter to be probable at this stage, and no provision has accordingly been made in its financial statements.
