AXIS/CO/CS/280/2026-27 dated July 29, 2026, intimating about the withdrawal of nomination of Mini Ipe as their nominee director by Life Insurance Corporation of India (“LIC”), promoter of the Bank. We now wish to inform you that LIC, has nominated K. S. Giridhar as their Nominee Director on the Board of Directors of the Bank (“the Board”) in place of Mini Ipe. Accordingly, in terms of the applicable laws and based on the recommendation of the Nomination and Remuneration Committee, the Board has appointed K. S. Giridhar (DIN: 11849889) as an additional Non-Executive (Nominee) Director with effect from August 14, 2026, subject to approval of the shareholders of the Bank. Please note that K. S. Giridhar is not debarred from holding the office of director by virtue of any order of SEBI or any other statutory authority. The details required pursuant to SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as Annexure A. Giridhar 1 Reason for change Appointed as additional Non-Executive (Nominee) Director of the Bank. 2 Date of August 14, 2026, liable to retire by rotation. He shall hold office appointment/cessation and for a term in accordance with the provisions of the applicable term of appointment laws, or until his nomination is withdrawn by LIC, whichever is earlier. 3 Disclosure of relationship K. S. Giridhar is not related to any other directors or key between directors managerial personnel of the Bank. 4 Brief Profile K. S. Giridhar age 60 years is Executive Director (P & GS) of Life Insurance Corporation of India (LIC). He has over 35 years of experience at LIC, driving transformation across Group Business, Investments, Technology, Governance and Pension Solutions. He has vast experience in managing large-scale institutional businesses, investment portfolios, regulatory frameworks, and Government partnerships. Currently leading LIC's Group Business with Assets under Management (AUM) exceeding approx. ₹14 trillion, while serving on several enterprise-level governance and strategic committees. At LIC, he has held various positions such as Executive Director – Investments (Monitoring & IT), Chief - Investment Debt Operations and Equity Research and Head – Group Business Marketing Operations etc. He holds degree of Bachelor of Engineering and is a Fellow of Insurance Institute of India.
