The Board of Directors has advised to evaluate various aspects of the proposed Buyback, including modalities for undertaking the Buyback. In view of this, the Board has constituted a Buy-Back Committee to consider and deliberately assess, evaluate, review and transact such matters as may be necessary in relation to the proposed Buy-Back. Accordingly, the Company will evaluate the proposal in detail and may take an appropriate decision at a subsequent meeting of the Board. Further, the Trading Window for dealing in the securities of the Company by the designated persons and their immediate relatives shall remain closed till 48 hours after the Board Meeting to be conducted for approval of the proposed Buy-Back. We have reviewed the accompanying Statement of unaudited Standalone financial results of Responsive Industries Limited ('the Company') for the quarter ended 30th June, 2026 ('the Statement') attached herewith, being submitted by the Company pursuant to the requirements or Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('the Listing Regulations'). 2. This Statement, which is the responsibility of the Company's management and approved by the Board or Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ('Ind AS 34 '), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India.
