The Board noted that the delay was attributable to the lack of the requisite quorum for the scheduled Board Meeting held on May 30, 2026, as a result of which the financial results could not be considered and approved. Accordingly, the meeting was adjourned and subsequently reconvened on June 6, 2026. The Company thereafter duly complied with the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, by submitting the financial results for the quarter and financial year ended March 31, 2026, to the Stock Exchanges on June 6, 2026. The Board further assured that due care and diligence would be exercised to ensure the presence of the requisite number of Directors at all future Board Meetings so as to constitute the required quorum and facilitate the timely consideration and approval of matters placed before the Board. The Directors shall make all reasonable efforts to ensure their availability for scheduled Board Meetings and to avoid recurrence of such an instance in the future.
