Ms. R Swetha, Company Secretary of the Company welcomed the members of the
Company. She informed that the notice of the 72nd AGM and the Annual report for the
financial year 31st March, 2026, have been sent electronically for members whose email
ID’s are registered with the Company and letters containing the weblink of the Annual
reporthavebeensentto shareholders whohave notregisteredtheiremailID. Shebriefed
that the members who had not cast their votes through Remote E-Voting may cast their
votes through E-Voting platform providedby CDSL during the meeting.
ShealsoinformedthatSri.MDamodaranofDamodaran&Associateshasbeenappointed
as the scrutinizer for conducting the e-voting process.
Sri Srivats Ram, Chairman, occupied the Chair and welcomed the members, Directors
and the auditors of the Company. The requisite quorum being present, the Chairman
called the meeting to order. With the permission of the members, notice of the meeting
was taken as read.
The Secretary informed the shareholders that the Auditors' Report on the financial
statements for the year ended 31st March 2026, was an unmodified report.
The Chairman thereafterproceededto deliver his speechtothe Members highlighting the
following points:
> Performance of the Company for the year under review.
> Outlook for the year 2026-27
> Dividend
> Expressed gratitude to the customers, suppliers, dealers, shareholders and
bankers for theircontinued support.
> Appreciation to allthe staff and executives ofIMPAL for their contribution.
TheChairmanrequestedtheCompanySecretarytoinvitetheshareholdersforexpressing
their views /asking questions. The queries raised by the members at the meeting were
answeredby the Chairman and Managing Director.
Subsequently, Chairman announced that members who have not exercised remote e-
voting may exercise their votes electronically upto the conclusion of the meeting.
The following businesses as set forth in the Notice were transacted at the Meeting.

There being no other business to transact, the Chairman declared the meeting closed
after a member proposed a vote of thanks.

72nd Annual GeneralMeeting
July 21,2026
Ladies and Gentlemen,
The Indian automobile industry continues to be one of the key pillars of the nation's
economy, contributing approximately 6% of India's GDP, while the auto component
industry contributesabout2.3%ofGDP. TheIndianAutomotiveaftermarketisexpected
to witness sustained growth, driven by expanding service networks and increasing
preference for genuine and reliable spareparts.
The Company recorded a revenue growth of6.12%, during the year under review over
the previous year, despite competitive pressures and the West Asia crisis. In order to
maintain our share in the market, the company opened ten additional branches during
the year under review and has a total of 90branches for distributing the spare parts.
The past year has been a steady progress. Despite economic uncertainties and other
challenges, thecompany remained focused ondelivering high-quality automobilespare
parts to its customers.
Outlook
With an increasing vehicle pare in both the Passenger Vehicle & Commercial Vehicle
Segments on Indian roads, the need for high-quality and affordable replacement parts
is expectedto grow.
Our focus will remain on expanding our reachby increasing our network and improving
the availability of genuine parts across thecountry.
Liquidity continues to remain tight and is expected to improve in the second half of the
financial year.
The El Nino phenomenon may delay the onset of south west monsoon due to which_
there could be a decrease in consumptioninrural and farm sectors.

Dividend
The company has paid an Interim dividend of Rs. 10/- per share in February 2026. The
company ispleasedtorecommend aFinalDividendofRs. 23/-pershare,subjecttothe
approval by the shareholders at the AGM. Together with the Interim Dividend, the total
dividend for the year 2025-2026 aggregates to Rs. 33/-per share.
