Scrip Code: 500470 Symbol: TATASTEEL Dear Madam, Sirs, Sub: Outcome of the Meeting of Committee of Directors - Divestment of entire stake held in Jamshedpur Football and Sporting Private Limited, wholly owned subsidiary The Committee of Directors (constituted by the Board of Directors of Tata Steel Limited at its meeting held on July 30, 2026 to consider and approve the proposal of divestment of stake in Jamshedpur Football and Sporting Private Limited), at its meeting held today i.e., August 14, 2026, considered and approved the transfer of entire 100% equity stake comprising of 4,08,00,000 equity shares of face value ₹10/- each held by Tata Steel Limited in Jamshedpur Football and Sporting Private Limited (‘JFSPL’), wholly owned subsidiary, to Churchill Brothers Sports Club Private Limited (‘Churchill’), at a nominal consideration of ₹100/-. Pursuant to the aforesaid approval, Tata Steel Limited and Churchill have, today, entered into a Share Purchase Agreement setting out the terms and conditions governing the proposed transfer of Tata Steel's entire shareholding (100%) in JFSPL to Churchill. The completion of the transaction is subject to the satisfaction of certain conditions precedent, including receipt of necessary approvals from the All-India Football Federation and completion of other customary actions and activities as agreed between Tata Steel and Churchill. Details relating to this transaction are provided in Annexure 1. Further, please find enclosed press release titled “Tata Steel transfers ownership of Jamshedpur Football & Sporting Pvt. Ltd. to Churchill Brothers FC ~ Ownership transfer to ensure continuity for JFC players and coaching staff ~ Mumbai, August 14, 2026: Tata Steel has agreed to transfer its equity shares in ‘Jamshedpur Football & Sporting Private Limited’ (JFSPL) to Churchill Brothers Football Club for a token consideration. This transfer, made in accordance with All India Football Federation (AIFF) regulations, includes the transfer of the Club's Indian Super League (ISL) sporting licence, and the transfer of 12 players & 2 coaches. Tata Steel Limited and Churchill Brothers Football Club signed an agreement to this effect today. Churchill Brothers will take over the contracts of all JFC players and coaching staff with effect from September 2026, offering them the opportunity to continue their professional football careers in the ISL. Churchill Brothers carries close to four decades of footballing legacy in Goa, with two I-League titles and a strong record in Indian domestic football. D. B.
