Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, we hereby inform you that, based on the recommendation of the
Nomination and Remuneration Committee, the Board of Directors of the Company, at its
meeting held on 13th August 2026, has approved the following appointments:
1. Dr. CA Binoy J. Kattadiyil (DIN: 05189400) as an Additional Director in the capacity of
Non-Executive Non-Independent Director, and designated as Vice Chairman subject
to the approval of the shareholders at the ensuing Annual General Meeting; and
2. Mr. CA Mathevan Pillai Sivaram (DIN: 01163624) as an Additional Director in the
capacity of Non-Executive Independent Director of the Company, subject to the
approval of the shareholders, wherever applicable.
The requisite disclosures pursuant to Regulation 30 of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015, read with SEBI Circulars issued thereunder, are

Brief profile of Mr. CA Binoy J. Kattadiyil
CA. Dr. Binoy J. Kattadiyil is a macroeconomist, turnaround professional, and investment
strategist with three decades of experience spanning industry, public policy, and regulatory
domains. He is an economist, investor, and strategic advisor with interest in capital markets,
corporate restructuring and economic policy.
Previously, he served as Director General and Member Secretary of CMD, Kerala, an
autonomous institution under the Government of Kerala where he led large-scale
monitoring, evaluation, impact assessment, and due diligence assignments for 100+
government departments, public sector enterprises, MSMEs, and economic development
programs, alongside management consulting engagements. Prior to this, he was Managing
Director at the Insolvency Professionals Agency under the Insolvency and Bankruptcy Board
of India, New Delhi providing strategic leadership, ensuring regulatory compliance,
corporate restructuring, distressed assets turnaround, business revival, value maximisation
and institutional governance. He also served as Managing Director of a SEBI-licensed
portfolio management and infrastructure development group in India where he led mixed-
use infrastructure and real estate development projects. Earlier in his career, he held the
position of Director – Development Finance for the iconic US$5 billion Atlantis, The Palm
Jumeirah project in the Middle East, contributing to one of the Middle East's largest
hospitality and real estate developments through project finance, infrastructure
development, and global fund syndication.
He has advised governments, public sector enterprises, financial services firms,
infrastructure developers, and corporate enterprises on economic strategy, restructuring,
investment management, and institutional governance across India and international
markets and served at the board level. This diverse exposure has strengthened his expertise
in business planning, public policy formulation, institutional design, and strategic decision-
making, positioning him for senior leadership roles in complex economic environments.
His academic credentials include a post-doctorate as Higher Doctor of Economic Science
(DSc) in Management, a PhD in Finance, Fellow Chartered Accountant (FCA), MS in
Economics, MBA, and LLM. He is a member of several prestigious professional bodies,
including the Royal Economic Society (UK), Turnaround Management Association (USA),
INSOL India, Chartered Institute for Securities & Investment (UK), Urban Land Institute
(USA), International Bar Association (UK), Association of Certified Fraud Examiners (USA),
and the Indian Council of Arbitrators.
His work integrates economic policy, corporate finance, reengineering restructuring,
infrastructure development, investment management, and institutional governance,
enabling organizations to drive sustainable growth, transformation, and long-term value
creation.
