Date of appointment and term of On the recommendation of Nomination & appointment: Remuneration Committee, the Board of Directors of the Company has at its meeting held today approved the appointment of Rasesh Girish Shah (DIN: 00442525) as an Additional Director of the Company in the category of Non-Executive Non- Independent Director with effect from 13th August, 2026, liable to retire by rotation, subject to the approval of the members of the Company. 3. Brief profile (in case of appointment) : Mr. Rasesh Shah holds a Master’s degree in Business Administration (MBA) and is a Commerce graduate from Gujarat University, Ahmedabad. He is an experienced business professional with considerable exposure to the geosynthetics sector, particularly in the supply and application of geosynthetic products for infrastructure, water management and Government-related projects. Over the years, he has been associated with the supply and execution of geosynthetic solutions for various Government and semi- Government organisations, including projects connected with the Government of Gujarat, Border Roads Organisation (BRO) and the Indian Army. His experience has provided him with a sound practical understanding of geosynthetic applications, field requirements, project execution and institutional customer requirements. He has also played an important role in facilitating a pilot project for “Farm Ponds” for water harvesting in favour of Texel Industries Limited from the Water Resources Department, Government of Gujarat. This initiative is closely aligned with Texel’s geosynthetics business and demonstrates his ability to identify and facilitate opportunities for the application of geosynthetic products in water conservation, agricultural infrastructure and rural development projects. He is known for his professional approach, commitment to timely execution and adherence to project delivery requirements. His industry experience, field-level knowledge and exposure to Government and institutional projects are expected to provide valuable inputs to Texel, particularly in the areas of business development, Government and institutional opportunities, market development, project execution and identification of new applications for geosynthetic products. Apart from his professional activities, he has been actively associated for the past seven years with social-development initiatives for the upliftment of tribal communities. His efforts include encouraging and assisting tribal communities in the cultivation of millets and other livelihood-oriented agricultural activities, with the objective of improving their economic opportunities and standard of living. 4.
