Dear Sir/ Madam, This is with reference to our earlier disclosure dated July 22, 2026, in relation to the Scheme of Amalgamation of Ventura Allied Services Private Limited (“VASPL” or the “Transferor Company” or the “Step-down Subsidiary Company”) with Ventura Securities Limited (“VSL” or the “Transferee Company” or the “Subsidiary Company”) and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”). Both the Companies, upon receipt of the certified true copy of the order of the Hon’ble National Company Law Tribunal (“NCLT”), Mumbai Bench, have filed the said order with the Registrar of Companies, Mumbai, in Form INC- 28 on August 12, 2026. Accordingly, pursuant to Clause 1.15 of the Scheme, August 12, 2026 shall be considered as the Effective Date of the Scheme. Further, pursuant to Clause 1.12 of the Scheme, the Appointed Date of the Scheme shall be April 1, 2024. The Scheme has accordingly become effective from August 12, 2026.
