on the fine levied by Exchanges (National Stock Exchange of India Limited “NSE” &
BSE Limited “BSE”)
Dear Sir/Madam,
In reference to the NSE Letter no. NSE/LIST-SOP/FINES/0717 dated June 30, 2026 and BSE Email
dated June 30, 2026, regarding non-compliance/delayed compliance with the requirements to disclose
related party transactions in the format as specified and within the prescribed timeline, under Regulation
23(9) SEBI (LODR) Regulations, 2015, for the quarter and financial year ended March 31, 2026.
As advised by the Stock Exchanges, the aforesaid matter was placed before the Board of Directors of
the Company in its meeting held on August 13, 2026, wherein the Board took note of the matter and
recognized that the non-compliance of provision is on account of technical difficulties faced while
validating the XBRL file and is not intentional on the part of Company and has advised to henceforth
ensure compliance requirements minutely.
The Board was further informed that the Company has remitted the aforesaid fines to both the Stock
Exchanges, including applicable GST, within the stipulated timeline. The payment was made on July
10, 2026, well within the period prescribed in the communications issued by the Stock Exchanges.
We would like to further assure that the Company has always endeavored to comply with the applicable
regulations in its true letter and spirit and has already undertaken necessary steps to strengthen its
processes to avoid such inadvertent delay in future.
