Dear Sir/ Madam,
Pursuant to Regulation 30 of SEBI Listing Regulations read with Para A of Part A of
Schedule III and other applicable provisions of the SEBI Listing Regulations, we wish to
inform you that SEBI vide its letter no. HO/47/28/13(5)2026-MRD-RAC2-I/18654/2026
dated August 13, 2026 has approved to make an investment of ₹ 5,00,00,000/- (Rupees
Five Crore only) in ONDC, in one or more tranches, subject to the condition that Central
Depository Services (India) Limited (“the Company” / “CDSL”) shall maintain its net
worth requirement at all the times in terms of Regulation 14(1) of SEBI (Depositories and
Participants) Regulations, 2018.
The details pertaining to the above are mentioned in Annexure A in compliance with the
SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, and

to build public digital infrastructure for India.

This is the first-of-its-kind initiative globally and
will pave the way for democratizing digital
commerce in India so that all small retailers,
businesses, traders, FPOs, SHGS, Karkhanas,
MSMEs etc., as well as consumers from all parts of
India, can participate in and benefit from
eCommerce.
ONDC has been institutionalized as a private
sector-led non-profit company, as such an entity is
expected to provide a start-up mindset for a
population scale implementation, enabled by a
management with a futuristic vision, leadership
with a deep understanding of commerce, comfort
with cutting edge technology, and missionary
outlook to drive change. Moreover, a non-profit
company structure removes any incentive for
owners to drive for profit maximization and keeps
the focus on ethical and responsible behaviour
while providing for trust, rigorous norms of
governance, accountability and transparency.
ONDC is backed by leading Institutions, Banks and
other corporate bodies etc., who have invested ₹
1,084 Crore as on June 30, 2026 in ONDC.
