Unaudited Financial Results for the quarter ended 30th June, 2026, pursuant to
Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended
To The Members of Ashapura Intimates Fashion Limited
We have reviewed the accompanying Statement of unaudited financial results of Ashapura
Intimates Fashion Limited (“the Company”) for the quarter ended 30th June, 2026 (“the
Statement”), being submitted by the Company pursuant to the requirements of Regulation 33
of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended
(“Listing Regulations”).
This Statement, which is the responsibility of the Company’s management and approved by
its chairman and managing directors, has been prepared in accordance with the recognition and
measurement principles laid down in Indian Accounting Standard 34 “Interim Financial
Reporting” (Ind AS 34), prescribed under Section 133 of the Companies Act, 2013, as
amended, read with relevant rules issued thereunder and other accounting principles generally
accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our
responsibility is to express a conclusion on the Statement based on our review.
We conducted our review of the Statement in accordance with the Standard on Review
Engagement (SRE) 2410, “Review of Interim Financial Information Performed by the
Independent Auditor of the Entity”, issued by the Institute of Chartered Accountants of India
(ICAI). This Standard requires that we plan and perform the review to obtain moderate
assurance as to whether the Statement is free from material misstatement. A review of interim
financial information consists of making inquiries, primarily of the Company's personnel
responsible for financial and accounting matters and applying analytical and other review
procedures. A review is substantially less in scope than an audit conducted in accordance with
Standards on Auditing specified under section 143(10) of the Companies Act, 2013 and
consequently does not enable us to obtain assurance that we would become aware of all
significant matters that might be identified in an audit. Accordingly, we do not express an audit
opinion.
The Statement includes the result of the following entity:
I. Ashapura Intimates Fashion Limited
Basis of Opinion
The Unaudited Financial Results includes the financials results of Ashapura Intimates Fashion
Limited alone, whose financial results reflect total revenue of Rs. 398.51 Lakhs for the quarter
ended June 30, 2026, total net profit after tax of Rs. 10.30 Lakhs for the quarter ended June30,

2026, as considered in the Statement. According to the information and explanations given to
us by the Management, the financial results are not material.
Our conclusion on the Statement is not modified in respect of our reliance on the financial
results certified by the Management.
The Financial Results in the Statement for the quarter ended June 30, 2025 were reviewed and
for the year ended March 31, 2026, were audited by auditor who expressed a Disclaimer of
Opinion on those Financials Results on August 14, 2025 and May 16, 2026 respectively.
Our conclusion on the statement is not modified in respect of the matter.
As per the Triparty MOU dated between M/s. Grow House Agro Ltd., M/s. Pervasive
Commodities Ltd., and M/s. Ashapura Intimates Fashion Ltd., the total agreed consideration
of INR 21,30,00,000 is payable to M/s. Ashapura Intimates Fashion Ltd. by M/s. Pervasive
Commodities Ltd. As on date, the total funding obligation is fulfilled by M/s. Pervasive
Commodities Ltd. in full. Any funds received from M/s. Pervasive Commodities Ltd. in excess
of their specific MOU commitment have been recognized and accounted for as a loan in our
books.
Conclusion
Based on our review conducted and procedures performed as stated in paragraph above,
nothing has come to our attention that causes us to believe that the accompanying Statement,
prepared in accordance with the recognition and measurement principles laid down in the
aforesaid Indian Accounting Standard and other accounting principles generally accepted in
India, has not disclosed the information required to be disclosed in terms of Regulation 33 of
the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended,
including the manner in which it is to be disclosed, or that contains any material misstatement.
