Dear Sir/Madam, In continuation of our letter dated 05th August 2026 and Pursuant to Regulation 30 and 33 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015 as amended from time to time, we wish to inform that the Board of Directors of the Company at their meeting held today i.e., Thursday, 13th August 2026, have inter alia considered, transacted and approved the following matters: 1. Financial Results: Approved the Un-Audited Standalone and Consolidated Financial Results of the Company for the Quarter ended 30th June 2026 along with the Limited Review Report issued by the Statutory Auditors M/s Manoj Acharya & Associates, Chartered Accountants (FRN–114984W) which have been duly reviewed and recommended by the Audit Committee. In this regard, we are enclosing herewith: (a) Limited Review Report on Un-Audited Standalone and Consolidated Financial Results for the Quarter 30th June 2026 issued by the Statutory Auditors, M/s Manoj Acharya & Associates, Chartered Accountants (FRN – 114984W). (b) A copy of Un-Audited Standalone and Consolidated Financial Results of the Company for the Quarter ended 30th June 2026. The results will be available on the website of the Stock Exchange on the link www.bseindia.com and also on the website of the Company www.tihil.co.in. 2. Convening 38th Annual General Meeting for the Financial Year ended 31st March 2026: The Board has approved to hold and convene 38th (Thirty Eighth) Annual General Meeting of the Equity Shareholders of the Company on Friday, 25th September 2026 at 02:00 PM IST through video conferencing or other audio visuals means in Compliance with applicable provisions of Companies Act, 2013 read with relevant circulars issued by Ministry of Corporate Affairs (MCA) and Securities and Exchange Board of India (SEBI) in this regard. The Board has also approved the Notice calling 38th Annual General Meeting together with the Board of Directors’ Report and its Annexures for the Financial Year ended 31st March 2026 and other related agenda items. Show Room, Thaltei, Ahmedabad - 380054 1. We have reviewed the accompanying Statement of unaudited Standalone financial results of Trans India House Impex Limited ("Company") for the quarter ended 30th June, 2026 ("he Statement"), being submitted by the Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. 2. This Statement, which is the responsibility of the Company's management and approved by the Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013 read with relevant rules issued thereunder and other accounting principles generally accepted in India. Our responsibility is to express a conclusion on the Statement based on our revieW. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the lndependent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. This standard requires that we plan and perform the review to obtain moderate assurance as to whether the Statement is free of material misstatement. A review of financial information consists of making inquiries, primarily of the Company's personnel responsible for financial and accounting matters, and applving analytical and other review procedures. A AARYI fONVW eli14g84W RTEREDACOOUN teview is substantially less in scope than an audit conducted in accordance with Standards on Auditing specified under section 143(10) of the Companies Act, 2013 and consequently does not enable us to obtain assurance that we wOuld become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. We also performed procedures in accordance with the circular issued by the Securities and Exchange Board of India under Regulation 33(8) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended, to the extent applicable. 4. We draw your attention to the following matters: a) As informed to us, the Company is in a continuous process of obtaining balance confirmations from certain trade debtors. Several confirmations are still pending, and accordingly, we were unable to satisfy ourselves regarding the recoverability and accuracy of such outstanding balances. Management has represented that, depending on the outcome of the confirmation process, the Company may be required to create provisions for doubtful debts at the end of the financial year, which may have an impact on the profitability. The possible effects of this matter on the interim financial results cannot be determined at present. b) As per Income Tax Portal Outstanding Tax Liability is of Rs. 60,49,80,790 for A.Y. 2024-25, including Interest levied by the Department. However, aggrieved with the above, company has filed an appeal with CIT(Appeals). Management has represented that, depending on the outcome of the appeal, the Company may be required to pay part of the payment of Tax demanded, which may have an impact on the profitability. The possible effects of this matter on the interim financial results cannot be determined at present. c) As per the e-Proceedings tab on the Income Tax Portal, various notices have been observed, including notices relating to assessment of income under section 143(2) forA.Y. 2025-26. d) The Company is irregular in payment of various statutory dues and filing of the Statutory returns, including the payment of Tax Deduction at Sources (TDS), payment of Provident Fund (PF) and applicable Professional Tax.
