read with Regulation 44 of Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"), as amended]

Sub: Consolidated Scrutinizer's Report on e-voting [Voting at Annual General
Meeting ("AGM")]/remote e-voting conducted in terms of provisions of Section
108 of the Act read with Rule 20 of Rules, as amended, and Regulation 44 of
SEBI Listing Regulations for the 18th Annual General Meeting of Niva Bupa
Health Insurance Company Limited ("Company") held on Wednesday, August
12, 2026 at 03:00 P.M. (1ST) through video conferencing/other audio-visual
means ("VC/OAVM").
Dear Sir,
I, CS Ranjeet Pandey, Proprietor of M/s. Ranjeet Pandey & Associates, a firm of Company
Secretaries, having office at A-160, Basement, Defence Colony, New Delhi-110024, was
appointed as Scrutinizer by the Board of Directors of the Company for the purpose of
scrutinizing the voting process, i.e remote e-voting & e-voting during the 18th AGM in respect
of the resolutions contained in the Notice of AGM dated July 13, 2026 ("the Notice") in a fair
and transparent manner and for ascertaining the requisite majority for the resolutions
proposed to be passed in terms of the provisions of Section 108 of the Act read with Rule 20 of
the Rules, as amended, read with MCA Circular No. 20/2020 dated May 5, 2020 and the
subsequent circulars issued from time to time, including the latest Circular No. 3/2025 dated
September 22, 2025 (collectively referred to as "MCA Circulars") and Regulation 44 of SEBI
Listing Regulations ..
On the basis of above, I submit my report as under:
1. As required under Section 101 and 108 of the Act, the Notice of 18th AGM of the
Company, scheduled to be held on Wednesday, August 12, 2026 at 03:00 P.M. (1ST)
through VC/OAVM was sent to the Members.
2. The Company has availed the services of National Securities Depositories Limited
("NSDL") for facilitating e-voting to enable the Members to cast their votes
electronically using remote e-voting system as well as e-voting at the AGM and
participation in the AGM through VC/OAVM.

3. The Management of the Company is responsible to ensure the compliances with the
requirements of the Act read with rules made thereunder, SEBI Listing Regulations,
MCA Circulars and the SEBI Circulars or any other provisions, as applicable for the AGM
of the Company. The Management of the Company is also responsible for ensuring a
secured framework and robustness of the electronic voting systems.
4. My resp-onsibility as Scrutinizer is restricted to make a consolidated Scrutinizers'
Report of the votes cast by the Members on the resolutions stated in the Notice, based
on the report generated from the e-voting system provided by the service provider i.e.
NSDL and documents furnished to us electronically by the Company and/or NSDL for
our verification.
5. The Members of the Company holding equity shares in dematerialized form, as on the
'cut-off date' i.e. Wednesday, August 05, 2026 were entitled to avail the facility of
remote e-voting as well as e-voting at the AGM on the proposed resolutions, as set out
in the Notice.
6. Detailed instructions relating to e-voting at AGM and remote e-voting facility along
with other details were duly provided to all the Members.
7. The Company has also published the information relating to remote e-voting and e
voting facility at the AGM in two newspapers namely, Business Standard (Hindi
Newspaper) and Business Standard (English Newspaper) on July 18, 2026.
8. The remote e-voting period commenced on Sunday, August 09, 2026 at 09:00 A.M.
(1ST) and concluded on Tuesday, August 11, 2026, at 05:00 P.M. (1ST) for the purpose
of AGM held on Wednesday, August 12, 2026.
9. The Notice was sent electronically on Friday, July 17, 2026 to all the
Members/Beneficiaries whose name(s) appeared in the Register of Members/List of
beneficial owners received from National Securities Depository Limited/Central
Depository Services (India) Limited ("Depositories") as on the Cut-off date i.e. July 10,
2026 and whose e-mail IDs were available with the Company and Depositories through
electronic means only. Besides this, the Company has also sent a letter to Members
whose e-mail ids were not registered with Company/ RTA /DPs providing the web link
and QR Code for accessing notice of AGM and Annual Report for the financial year
2025-26 in terms of Regulation 36(1)(b) of the SEBI Listing Regulations.
10. The Members have casted their vote through e-voting at AGM and remote e-voting
facility provided by NSDL on the designated website https://www.evoting.nsdl.com/
11. I have monitored the process of remote e-voting and e-voting at AGM through the
scrutinizer's secured link provided by NSDL on the designated website.
12. No members, who have used the facility of remote e-voting, have casted their vote in
the AGM of the Company through e-voting system.
13. After the closure of e-voting conducted at the AGM and the r-emote e-voting facility
conducted prior to the AGM, thee-votes cast by the Members were unblocked and were
downloaded in the presence of 2 (two) witnesses i.e. Mr. Alok Kumar Tripathi and Ms.
Mohini Raghav, who are not in the employment of the Company. The votes casted were
reconciled with the records maintained by the Registrar and Transfer Agents of the
Company, M/s. KFin Technologies Limited and the authorizations/ proxies lodged with
the Company.
14. After scrutinizing and reviewing the report of remote e-voting conducted prior to the
AGM and e-voting conducted at the AGM and votes casted therein based on the data
downloaded from NSDL website, we hereby submit the consolidated results of e-voting
for the AGM as under:
Resolution 01: Ordinary Resolution
To receive, consider and adopt the Audited Financial Statements comprising the Balance
Sheet, Profit & Loss Account, Revenue •A ccount, Receipts & Payments Account of the
Company together with the Notes to Financial Statements, report of Board of Directors and
Auditor's thereon for the Financial Year ended March 31, 2026.
