Dear Sir/Madam,
Pursuant to Regulation 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (“SEBI LODR Regulations”) we hereby inform you that the Board of Directors (the
“Board”) of M/s. Hazoor Multi Projects Limited (the “Company”), at its meeting held today i.e.
Thursday, 13th August, 2026 at the registered office of the Company situated at C-45, Floor 4th, Plot
-210, C Wing, Mittal Tower, Barrister Rajani Patel Marg, Nariman Point Mumbai — 400021 inter-alia
have approved the following business:
1. Considered and Approved Standalone & Consolidated Unaudited Financial Results along with
the Limited Review Report thereon for the quarter ended on 30th June 2026:
Pursuant to Regulation 33 of SEBI Listing Regulations the Board has considered and approved
standalone & consolidated Unaudited Financial Results along with the Limited Review Report
thereon for the quarter ended on 30th June 2026. The said Unaudited Financial Results along
with the Limited Review Report are enclosed hereto and marked as Annexure-I.
2. Considered and approved the forfeiture of partly paid-up Equity shares of the Company:
The Company has made Rights Issue and allotment of partly paid-up Equity Shares of the
Company on 13th March, 2023; the call money was received in respect of 50,60,541 Equity
shares out of 50,75,000 Equity shares allotted by the Company.
Accordingly, the Call Money in respect of 14,459 partly paid-up Equity Shares remained unpaid
within the stipulated due date.
The Partly paid-up shareholders were intimated through First and final call Money notice dated
30th May, 2023 and Final Call Money-Cum-Forfeiture Notice 17th August, 2023 and 26th
February, 2024 requesting them to pay the outstanding call money within the prescribed due
date.

The Company also intimated to the shareholders through the aforesaid Call money
notice(s)/reminder notice(s) that failure to pay call money within the stipulated time would
result in forfeiture of the relevant partly paid-up Equity Shares in accordance with the provisions
of The Companies Act 2013 ("Act"), the Articles of Association of the Company and the Letter
of offer.
Despite the aforesaid notices and reminders, the Final Call Money in respect of 14,459 partly
paid-up Equity Shares continues to remain unpaid.
Therefore, the Board of Directors at their meeting held today i.e. August 13, 2026 took the
decision to forfeit the said 14,459 partly paid-up Equity Shares on which Call Money has not
received by the Company.
The disclosures in accordance with SEBI LODR Regulations read with SEBI Master Circular no.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are attached hereto as
“Annexure II”.
[Note: The Company, at its Annual General Meeting held on 27th August, 2024, approved the sub-
division of 1 (One) Equity Share of face value of Rs. 10/- (Rupees Ten only) each into 10 (Ten) Equity
Shares of face value of Re. 1/- (Rupee One only) each, So 1,44,590 Partly Paid up Equity Shares of
₹1/- each]
In compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015, the trading window
will reopen after 48 hours of announcement of the said Results.
