Sub: Board Comments on the fine levied by BSE
As per email correspondence dated June 22, 2026 received from BSE Limited (BSE) pertaining
to non-submission of Annual Secretarial Compliance Report for the year ended March 31,
2026 (ASCR) pursuant to Regulation 24A of the SEBI (Listing Obligations and Disclosures
Requirements) Regulations, 2015 (‘the Listing Regulations’) in XBRL mode with BSE. The Board
of Directors in their meeting held today i.e. 13th August, 2026 noted the following:
(a) ASCR was duly filed with BSE in PDF mode on May 21, 2026 within the timelines
prescribed under the Listing Regulations.
(b) Fine levied by BSE amounting to Rs. 52,010/- (including GST) which has been paid by the
Company for the delayed submission of Annual Secretarial Compliance Report (ASCR) in
XBRL mode and it has also been reported in the Integrated Governance Report filed with
BSE for the quarter ended June 30, 2026, as per listing regulations.
(c) The delayed submission of ASCR in XBRL mode with BSE, was unintentional and purely
due to oversight. It also noted that the BSE levying the fine for non-submission/delayed
submission of ASCR in XBRL mode only.
Furthermore, the Board advised the management to ensure timely compliance(s) in the
future.
