With reference to the above subject, we wish to inform you that the Board of Directors of the Company, at its meeting held on August 13, 2026, took note of the email dated June 22, 2026, along with other emails received from BSELimited regarding the levy of fine for delay in submission of the Secretarial Compliance ReportforthefinancialyearendedMarch31,2026,underRegulation24A(2)oftheSEBI(ListingObligations and Disclosure Requirements) Regulations, 2015 read with the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026issuedonJuly11,2023andlastupdatedonJanuary30,2026. The Board noted that the delay in filing the Secretarial Compliance Report was inadvertent and that the applicablefineleviedbyBSELimitedhasbeendulypaidbytheCompanyinaccordancewiththeapplicable provisionsoftheSEBIMasterCircularandthecommunicationsreceivedfromBSELimited. The Board also placed on record its deep regret for the delay in submission of the Secretarial Compliance Report and accepted responsibility for the lapse. The Board reiterated its commitment to ensuring timely and accurate regulatory compliances and noted that necessary corrective and preventive measures have been implemented to strengthen the Company's internal compliance monitoring mechanism so as to preventtherecurrenceofsuchinstancesinfuture.
