Approved the Unaudited Financial Results for the quarter ended 30th June, 2026 as per Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The Financial Results along with Limited Review report issued by Statutory Auditors is enclosed as Annexure – 1. 2. Based on the recommendation of the Audit Committee, the Board of Directors has granted its In-principle approval for the proposed merger of Samrajyaa Precision Machining Private Limited (“Transferor Company”) with Magna Electro Castings Limited (“Transferee Company” or “Company”) under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”). The Board of Directors of the Company have also granted their approval for the appointment of Registered Valuer to carry out the valuation of the Company to determine the share exchange ratio for the purpose of merger and for the appointment of Merchant Bankers to provide a fairness opinion on the said valuation report. The proposed Scheme of Amalgamation along with the valuation report and other relevant documents will be placed for further consideration and approval of the Independent Directors, Audit Committee and Board of Directors at a subsequent meeting. The Scheme, if approved by the Board of Directors in a subsequent meeting, shall also be subject to the requisite approval / permission / no objection / sanction of the shareholders and creditors of the respective companies, BSE Limited, the Hon’ble National Company Law Tribunal at Chennai Bench and such other statutory and other regulatory authorities as may be required in this regard. The disclosure required under Regulation 30 read with Schedule III of the Listing Regulations and the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026, are given as Annexure - 2. 3. Approved the proposal for setting up of a new machining division at the South Campus situated at 49/3 & 38/2F1B, Coimbatore - Pollachi Main Road, Mullipadi village, Tamaraikulam Post, Kinathukkadavu Taluk, Coimbatore – 642109.
