Allotment of 23,87,257 (Twenty-Three Lakh Eighty-Seven Thousand Two Hundred Fifty-Seven) equity shares of the Company of the face value of Rs. 10 (Rupees Ten) each fully paid up (“equity shares”) on preferential basis at a price of Rs. 100 (Rupees Hundred) per equity share including premium of Rs. 90 (Rupees Ninety) per equity share aggregating to Rs. 23,87,25,700/- (Rupees Twenty-Three Crore Eighty-Seven Lakh Twenty-Five Thousand Seven Hundred). The said allotment has been made on a preferential basis to the shareholders of Calcio Restaurants Private Limited (“Calcio”), for consideration other than cash, in lieu of acquisition of 3,51,068 equity shares of Calcio aggregating to 34.76% stake on fully diluted basis by way of a share swap.
