Ms. Roshni Nadar Malhotra, Chairperson chaired the proceedings of the meeting. She informed that the AGM was being held through VC / OAVM in accordance with the circulars issued by the Ministry of Corporate Affairs and the Company has also provided a webcast facility to view the live proceedings of this AGM on NSDL’s website. She confirmed that the requisite quorum was present and called the meeting to order. The Chairperson welcomed the members and introduced the Directors and KMPs present at the meeting. The Chairperson then informed the Members that the Notice of the AGM and the Annual Report for the Financial Year ended March 31, 2026 were taken as read as the same had already been circulated to the Members. She further informed that the Statutory Auditors’ Reports on the standalone and consolidated financial statements of the Company and the Secretarial Audit Report for the financial year ended March 31, 2026 did not contain any qualification, reservation, adverse remark, or disclaimer and accordingly these reports were not required to be read. The Chairperson informed that the statutory registers and documents referred to in the Notice were available for inspection electronically on the website of NSDL during the meeting. The Chairperson thereafter addressed the members. The key messages covered in her Speech including the following: • On August 11, 2026, HCL Group marked its 50 years since its founding in 1976 by Mr. Shiv Nadar, marking a significant milestone in the HCL Group’s journey of becoming a pioneering institution with global scale and deep impact. • HCLTech’s FY26 performance, reported 3.9% year-on-year constant currency revenue growth, US$9.3 billion in new deal wins, consolidated revenue of ₹1,30,144 crores, Net Profit of ₹16,642 crores, and free cash flow of ₹18,553 crores. The Company declared a total dividend of ₹60 per share for FY26, reflecting its continued commitment to shareholder returns. • HCLTech’s progress in Artificial Intelligence (AI), emphasizing the Company’s strategy to be a leading AI solutions provider. HCLTech became the first large-cap India-headquartered technology services company to report Advanced AI revenue, which reached an annualized run rate of US$620 million in FY26. The address highlighted the Company’s AI led growth strategy and the investments in AI-led offerings, partnerships with leading AI ecosystem players, strategic investment in Sarvam, expansion into AI Data Centers. • Strengthening of HCLTech’s capabilities through strategic acquisitions, including HPE’s Telco Solutions Business, Jaspersoft, Wobby and Finergic, that aimed at enhancing the Company’s telecom engineering, data and analytics, software, and financial services capabilities. • Sustainability and ESG initiatives were also highlighted, including achievement of the Company’s 2030 Scope 1 and Scope 2 emissions reduction targets four years ahead of schedule, replenishment of 51 times more water than consumed across operations, and cumulative social investments of ₹1,984 crore through HCLFoundation, positively impacting over 8 million lives. • Key global recognitions received by HCLTech during the year, including being named among TIME’s World’s Best Companies and World’s Most Sustainable Companies, inclusion in Fortune’s World’s Most Admired Companies, recognition among Forbes World’s Best Employers, and being named one of the World’s Most Ethical Companies by Ethisphere for the third consecutive year.
