The appointment shall be subject to the approval of members at the 33rd Annual General Meeting of the Company and the compliances of Regulations 17 of the SEBI (LODR) Regulations, 2015 and the relevant provisions of the Companies Act, 2013 shall be followed. Brief Profile (in case of Mr. Anand Kumar, aged 65 years, is a distinguished appointment); career civil servant who joined the Indian Administrative Service (IAS) in 1984 and was allotted to the Kerala cadre. He holds an M.Sc. and M.Phil. (with distinction) from the University of Delhi, an MBA from the University of Queensland, Australia, and an LL.B. from Chaudhary Charan Singh University, Meerut. During his distinguished career, Mr. Kumar has held several senior positions across diverse sectors, including tourism, infrastructure, industry, biotechnology, finance, revenue, elections and governance, under both the State and Central Governments. He has served as District Collector and Magistrate of Idukki and Kozhikode districts in Kerala and has held several important positions in the Government of India. He was entrusted with the responsibility of managing relief camps on the Iraq–Amman border and coordinating the repatriation of Indian nationals during the Kuwait–Iraq War in 1990. During his tenure with Kerala Tourism, he played a significant role in strengthening tourism infrastructure and promotion, including the establishment of the Institute of Tourism and Travel Management and District Tourism Promotion Councils. He was also associated with the conceptualisation and launch of the internationally recognised “God’s Own Country” campaign and the promotion of houseboat tourism in Kerala. As Deputy Election Commissioner in the Election Commission of India, Mr. Kumar successfully conducted the Bihar Legislative Assembly Elections in 2005. He subsequently served as Chief Technical Adviser for the Nigerian General Elections 2007 under the United Nations Development Programme (UNDP). During his tenure with UNDP Nigeria from 2006 to 2008, he contributed to the country’s first peaceful civilian transfer of power and undertook assignments relating to elections and governance in Cambodia, Lebanon and Belgium. As Joint Secretary in the Ministry of Tourism, Government of India, he conceptualised the international tourism campaign “Find What You Seek”, which received the prestigious Golden Gate Award in Berlin, as well as the domestic tourism campaign “Go Beyond”. In the infrastructure sector, Mr. Kumar formulated India’s first Port Privatisation Policy and founded the National Highways and Infrastructure Development Corporation Limited (NHIDCL), serving as its first Managing Director. He subsequently served as Secretary to the Government of India in the Ministry of New and Renewable Energy and the Ministry of Culture. Mr. Anand Kumar has also served as the Chairman of the Real Estate Regulatory Authorities (RERA) of Delhi and Chandigarh. He brings extensive experience in public administration, governance, infrastructure, tourism, elections and regulatory affairs. 4.
