PROCEEDINGS OF THE 34th ANNUAL GENERAL MEETING OF MANAPPURAM FINANCE
LIMITED (“THE COMPANY”), HELD ON WEDNESDAY, AUGUST 12, 2026, AT 11:00 A.M. AT
LATHA CONVENTION CENTRE, VALAPAD, THRISSUR, KERALA - 680567
Pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015, the Company hereby informs that the 34th Annual
General Meeting (“AGM”) of the Company was duly held on Wednesday, August 12, 2026 at 11.00
A.M. at Latha Convention Centre, Valapad, Thrissur, Kerala - 680567.
Ms. Aparna Menon, Company Secretary of the Company, welcomed the members to the meeting.
She further informed that, in the absence of Ms. Rosemary Sebastian, Chairperson of the Audit
Committee, who was on leave due to unavoidable circumstances, Mr. Harshan Kollara, Independent
Director had been authorized to represent the Audit Committee.
Representatives of KKC & Associates LLP, Chartered Accountants and representatives of Chokshi
& Chokshi LLP, Statutory Auditors, CS Suresh MV, Senior Partner of SMS & Co LLP -Scrutinizer, e-
voting service provider - CDSL, Senior Officials of the Company and its Subsidiary Companies were
also present at the meeting. The meeting commenced with a silent prayer.
Dr. Sumitha Nandan, Executive Director and Vice Chairperson of the Company extended a warm
welcome to all the members.
Chairman & Managing Director’s Message:
Mr. V. P. Nandakumar, Chairman & Managing Director of the Company, confirmed that there was
requisite Quorum, called the Meeting to order and declared the proceedings open. Mr. Rakesh Bhatt,
Chairman of the Nomination, Compensation and Corporate Governance Committee; Mr. Harshan
Kollara, Chairman of the Stakeholders Relationship and Securities Transfer Committee, Mr. Rajesh
Kumar, Independent Director, Mr. Ashish Kotecha, Non- Independent Non-Executive Director, Mr.

Balaji Vijayaraghavan, Independent Director and Dr. Sumitha Nandan, Executive Director and Vice
Chairperson of the Company, were also present at the meeting.
With the permission of the members present, the Chairman took the Annual Report and the Audited
Financial Statements for the financial year ended March 31, 2026, as read. He noted that despite a
challenging global economic environment, India continued to demonstrate resilience, supported by
strong macroeconomic fundamentals and sustained domestic demand.
The Chairman informed the members that Manappuram Finance Limited delivered a strong
performance during FY 2025-26, with consolidated Assets Under Management increasing to ₹63,798
crore and the core gold loan portfolio growing to ₹50,953 crore. He also highlighted the Company's
continued focus on digital transformation, prudent risk management, shareholder value creation,
and the induction of Bain Capital as a strategic partner.
Expressing confidence in the Company's future growth prospects, the Chairman thanked the
customers, employees, lenders, business partners, regulators, and shareholders for their continued
trust and support. Before concluding, he extended warm advance wishes to all the members and
their families for a happy and prosperous Onam.
The Company Secretary confirmed that the Company had made all arrangements to enable the
members to participate in and vote on the items being considered in the AGM. Thereafter, with the
consent of the Members present at the meeting, the notice convening 34th Annual General Meeting,
the audited Standalone as well as Consolidated Financial Statements of the Company for the
Financial Year ended March 31, 2026, together with Reports of the Board of Directors and Auditors
thereon for the financial year ended March 31, 2026, were taken as read.
The following businesses were placed before the members by the Company Secretary and transacted
at the AGM:
1 Details of the Agenda: Adoption of Financial Statements.

Mode of voting: Remote E-voting and E-voting at the AGM.
2 Details of the Agenda: Appointment of Dr. Sumitha Nandan (DIN: 03625120) as a
director, liable to retire by rotation and being eligible, seeks re-
appointment.

The Company Secretary further informed that pursuant to the provisions of the Companies Act,
2013, the rules framed thereunder and SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, the Company had extended the remote e-voting facility to the members of the
Company in respect of the resolutions to be passed at the meeting. The remote e-voting commenced
on Saturday, August 08, 2026, at 9:00 A.M. (IST) and ended on Tuesday, August 11, 2026, at 5:00
P.M. (IST).
The Company Secretary further informed the members that the facility for venue e-voting was made
available at the meeting for members who had not cast their votes through remote e-voting.
The Company had appointed Mr. Suresh M V, Practising Company Secretary, Thrissur as the
scrutinizer for the purpose of scrutinizing the process of remote e-voting and e-voting process at the
AGM.
The meeting continued with an open forum for questions and answers. A few questions which were
raised by the Shareholders, were answered by, the Chairman and Managing Director, Chief
Financial officer, and the Company Secretary satisfactorily. The meeting concluded with a vote of
thanks to the Chair, Directors, members and other participants by the Company Secretary. The
members were requested to note that the resolutions set out in the AGM Notice read shall be deemed
to be passed on the date of the AGM i.e., August 12, 2026, if carried with requisite majority.

Thereafter, the e-voting module was extended for another 30 minutes to enable the members to cast
their votes.
The Company will separately intimate the e-voting results along with the Scrutinizer’s report to the
stock exchanges.
The AGM commenced at 11 AM and concluded at 12:50 PM (including the time allowed for e-voting
at the AGM).
