Means (“VC/OAVM”) in accordance with the relevant circulars issued by Ministry of Corporate Affairs
and Securities and Exchange Board of India.
Pursuant to Regulation 34 of Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“Listing Regulations”), we are submitting herewith the Annual
Report of the Company including Business Responsibility and Sustainability Report for the Financial
Year 2025-26 along with the Notice of the 42nd AGM.
The Annual Report and the Notice of 42nd AGM are being sent to the members whose email-ids are
registered with Depository Participants (DPs)/ Company/ RTA i.e. MUFG Intime India Pvt. Ltd., through
electronic mode and the same are also uploaded on the Company's website at www.gufic.com.
Further, in accordance with Regulation 36(1)(b) of the Listing Regulations, the Company will be
sending a letter to those shareholders whose e-mail IDs are not registered with Company/DPs/RTA
providing the web link including the exact path from where the Annual Report can be accessed.

“ What we register today
is what we will earn
from through the
next decade”
Dear Shareholders,
The world has become less predictable. Trade routes are being redrawn. Tariffs move. Rules change with
governments.
A single playbook, applied across every country and every market, will no longer deliver good returns.
What works in one market will not work in the next. This warrants a relook at how we go abroad, and we
have begun it.
Our international strategy will be broad-based. Many geographies, not a few. Going global, for Indian
pharma, has so far meant a handful of large regulated markets, with everybody crowded into the same
places. We will pursue growth across the whole of our footprint, with a specific strategy for each market:
its own products, its own registrations, its own route to the customer.
This is a good moment to be making the shift. The Government of India is working to globalise the Indian
pharmaceutical franchise. Trade agreements are being signed with various countries as an initiative to
boost the pharmaceutical sectors global presence. Each of them opens a door that was previously
expensive to open. Gufic intends to be standing at each one, ready.
Being ready means one thing above all. Registrations and intellectual property.
We have therefore moved aggressively on regulatory and IP creation in the markets that matter to us, and
we have a roadmap for it: country by country, product by product, with a sequence and a timeline against
each.
This is now our principal thrust. Global entry points. Front-end intellectual property. Registration and
market access. Held in our own name, and not through somebody else's.
We will invest further, and sizeably, in IP creation in the period ahead. I want to be clear about how we
regard that spending. It is not a cost to be managed down. It is the asset we are building. What we register
today is what we will earn from through the next decade.
What we carry through those doors matters as much as the access itself. Our portfolio is deliberately
narrow and deliberately differentiated. Complex injectables. Reproductive medicine. Therapies where
few others choose to compete. We build and prove them at home, and then we take them out. Niche is
not a limitation. In a world of many markets, it is how a company of our size wins any of them.
The years ahead will be measured in approvals secured, dossiers filed and markets entered. That is the
work, and it is already under way.
