Sub: Outcome of Board Meeting, Submission of Unaudited Financial Results of the
Company for the quarter ended 30th June 2026, and other Disclosures.

Further to our letter dated 4th August 2026, we write to inform you that pursuant to
Regulations 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations 2015 (the “Listing Regulations”) the Board of Directors of the Company at its
Meeting held today i.e. 12th August 2026 has inter alia approved the following:
1. Unaudited Standalone and Consolidated Financial Results of the Company for the
first quarter ended 30th June 2026 (the “Results”), a copy of which along with
Limited Review Report issued by the Statutory Auditors of the Company i.e. V.
Singhi & Associates, Chartered Accountants, is enclosed as Annexure-A.
2. Based on the recommendation of the Audit Committee, recommended for the
approval of the Members at the ensuing Annual General Meeting, the appointment
of M/s. Singhi & Co., Chartered Accountants (Firm Registration No. 302049E), as
Statutory Auditors of the Company for a term of 5 (five) consecutive years, i.e.,
from the conclusion of the 63rd Annual General Meeting until the conclusion of the
68th Annual General Meeting to be held in the calendar year 2031, in place of the
retiring Statutory Auditors, M/s. V. Singhi & Associates, Chartered Accountants.
Brief details of the proposed Statutory Auditors, as required under SEBI Circular
No. CIR/CFD/CMD/4/2015 dated 9th September 2015, are enclosed as Annexure
– B.

3. Notice convening the 63rd Annual General Meeting (“63rd AGM”) to be held on
Friday, 25th September 2026 through Video Conference /Other Audio Visual
Means (VC/OAVM).
4. Closure of Register of Members and Share Transfer Books from 19th September 2026 to
21st September 2026 (both days inclusive) for the purpose of the 63rd AGM.
The Meeting commenced at 5.00 PM and concluded at about 8.45 PM.

Limited Review Report on Unaudited Standalone Financial Results for the quarter
ended 30th June, 2026 of McNally Bharat Engineering Company Limited pursuant
to the Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended

1. We have reviewed the accompanying Statement of Unaudited Standalone Financial
Results of MCNALLY BHARAT ENGINEERING COMPANY LIMITED (“the
Company”) for the quarter ended 30th June, 2026 (“the Statement”), being
submitted by the Company pursuant to the requirement of Regulation 33 of the
Securities Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015, as amended (“Listing Regulations”).
2. This Statement, which is the responsibility of the Company's Management, is
prepared in accordance with the recognition and measurement principles laid down
in Indian Accounting Standard 34 (“Ind AS 34”) “Interim Financial Reporting”
prescribed under Section 133 of the Companies Act, 2013, as amended, read with
relevant rules issued thereunder and other accounting principles generally accepted
in India, and is in compliance with the Listing Regulations. Our responsibility is to
express a conclusion on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on
Review Engagements (SRE) 2410 “Review of Interim Financial Information
Performed by the Independent Auditor of the Entity”, issued by the Institute of
Chartered Accountants of India. A review of interim financial information consists of
making inquiries, primarily of persons responsible for financial and accounting
matters, and applying analytical and other review procedures. A review is
substantially less in scope than an audit conducted in accordance with Standards on
Auditing and consequently does not enable us to obtain assurance that we would
become aware of all significant matters that might be identified in an audit.
Accordingly, we do not express an audit opinion.
4. Based on our review conducted as stated above, nothing has come to our attention
that causes us to believe that the accompanying statement, prepared in accordance
with the recognition and measurement principles laid down in the aforesaid Indian
Accounting Standards (Ind AS) and other accounting principles generally accepted
in India, has not disclosed the information required to be disclosed in terms of
Regulation 33 of the Listing Regulations, including the manner in which it is to be
disclosed, or that it contains any material misstatement.

5. Emphasis of Matters
We draw attention to the following matters in the notes to the Statement:
a) Accounting Treatment Pursuant to Implementation of Approved
Resolution Plan
Note 5(b) of the accompanying statement that describes the accounting
treatment adopted by the Company consequent to the implementation of the
Resolution Plan, duly approved under the Corporate Insolvency Resolution
Process by the Hon’ble National Company Law Tribunal, Kolkata, vide its order
dated 19th December 2023 (the “Order”).
The Successful Resolution Applicant (“SRA”) was required, inter alia, to arrange
for buyback of 5% of the equity shares held by the Financial Creditors for an
aggregate consideration of Rs 3,000 Lakhs as per the approved Resolution Plan.
Hon’ble NCLT, Kolkata Bench, vide its order dated 10th June 2026 in IA (I.B.C.)
No. 294/KB/2026, held that the Rs 3,000 Lakhs equity buyback obligation is
mandatory and non-negotiable and that the Resolution Plan could not be
considered fully implemented until such obligation was fulfilled. The application
filed by the Company was accordingly dismissed
b) Current Assets and Current Liabilities
Note 8 of the accompanying Statement, describing the Trade Receivables,
Financial Assets, Other Financial Assets, Other Current Assets, Trade Payables,
and Advances from Customers are subject to confirmation and under
reconciliation with the respective parties. These balances are also subject to the
outcome of pending arbitrations, claim settlements, and any consequential
adjustments arising therefrom, if any. Furthermore, the Management’s
