Subject: GENERAL OUTCOME FOR BOARD MEETING
"Pursuant to Regulation 30r ead with Schedule Ill of the SEBI Listing Regulations, we wish to
inform you that the Board of Directors of the Company in their meeting held today i.e., 12th
August, 2026, have noted the following:
1. Misc. Case no.215 of2025
Intimation regarding legal proceedings pending before The court of Ld. Executive and Judicial
Magistrate (Bankshall Court, Kolkata) & Misc. Case no.215 of2025.
This case was filed against the company by Deshra Rural Development Agency on 18.12.2025
requesting the Court to take appropriate steps to safeguard the possession of our property from
further damage.
This case was aggressively contested by us and we had submitted that no material breach of peace
was ever committed and that there is no imminent threat to public peace and property and the Court
cannot be invoked for enforcing civil rights or implementing civil orders. In between there were
several hearings where no substantial progress was achieved and also appellant party failed to appear
ona number of occasions. The next date hearing is on 18.08.2026 wherein in allp robability the case
will be dismissed.
2. Mis. Case No.250 was filed by the Company in response to the case No.215 filed by Deshra Rural
Development Agency. These two cases No.215 and Misc. Case No.250 have been tagged together.
The Police Report have already been submitted by the Police Station to the Court which is largely in
our favour. The next date of hearing is on 18.08.2026.
3. T.S. 2565/2005
This case was filed by Deshra Rural Development Agency against the company on 19.01.2026 seeking
stay order on the property owned by the company on the mezzanine floor located in the parking area
of Nicco House.
The case was filed in the City Civil Court, Kolkata. The Ld. Court asked the Petitioner to produce
documents wherebyt he right of ownership of the petitioner is clearly established as the documents
annexed with the application by the Petitioner totally lack the clarity on this issue. Thereafter, the
court fixed the next date of hearing 21.08.2026 wherein the petitioner has to submit the proof of
ownershipo f the property under dispute.

4. The present status of the legal proceeding initiated by the Uco Bank before the Debt Recovery
Tribunala gainst the company bearing the Application No.118/2025. The bank's main application is to
seekf or removal of Joint Receiver who was appointed vide Order dated 01.12.2005. We have been
asked to file our written objection to the petition filed by bank on 17.08.2026.
Board of Directors were also informed that the Uco Bank being the lead bank of the
consortium of banks of the company had filed a case before the Hon'ble NationalC ompany Appellate
Tribunal (NCLAT) dated 18.12.2025 largely against the Order passed by the NCLT Kolkata Bench in CP
(B)No.129/KB/2025 including the Interlocutory application No.1211/KB/2025. After various
inconclusive hearings the matter will be takenu p on 13.08.2026 primarily to adjudicate upon the two
major issues as under:
a) The bank had annexed the Order of NCLT dated 18.12.2025 as late as 19.05.2026 well after the
expiry of Limitation Period.
b) Whether additional documents by way of Balance Sheet and Finanial results annexed with their
application before NCLT can be introduced as additional documents in support of their claim appeal
application.
We are confident that on these points the case will be dismissed by NCLAT, New Delhi in the hearing
to be held on 18.08.2026.
