Sub: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015
Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 ("SEBI LODR Regulations"), we wish to inform you that the Board of Directors
of the Company today i.e. Wednesday, August 12, 2026, has by way of a Circular Resolution, inter alia, considered,
approved and noted the following:
(i) Appointment of Ms. Priyanka Sinha (DIN: 06379983)) as an Additional Director (Non-Executive,
Independent) of the Company, for a term of two (2) consecutive years commencing from August 12,
2026, subject to the approval of the Members at the General Meeting/Postal Ballot as per the
Regulation 17 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and
such other statutory/regulatory approvals as may be required.
The said appointment has been made pursuant to the recommendation of the Nomination and
Remuneration Committee of the Company.
(ii) Cessation of Mr. Ashok Kumar Gupta (DIN: 08786735), who has completed first term as an
Independent Director of the Company, and consequently ceased to be a Director of the Company with
effect from the close of business hours on August 12, 2026.
The Board of Directors and Management of the Company places on record its deep appreciation for
the invaluable contributions, guidance and services rendered by Mr. Ashok Kumar Gupta during his
tenure as an Independent Director of the Company.
The disclosures required under Regulation 30 read with Para A of Part A of Schedule III of the SEBI LODR
Regulations and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, read with
SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/2024/185 dated November 11, 2024, in respect of item no. 1 & 2,
are enclosed as Annexure A.

globally experienced General Counsel, Managing
Director and Board Member, with extensive
experience advising Boards, CEOs, promoters,
private equity investors and multinational
organisations on legal strategy, corporate
governance, enterprise risk, compliance,
organisational transformation and Global
Capability Centre (GCC) strategy.
With executive leadership experience across telecommunications, technology, IT/ITeS,
consumer, healthcare, manufacturing, QSR, Alcobev and hospitality, she has advised
organisations on cross-border transactions, regulatory challenges, governance reforms and
business transformation across multiple jurisdictions.
Her areas of expertise include Board and Corporate Governance, Enterprise Risk
Management, Legal, Risk & Compliance Transformation, M&A and Strategic Transactions, GCC
