We refer to our letter dated April 6, 2026, informing that the Company has entered into a Business Transfer Agreement (“BTA”) with Auropharm Limited (formerly known as Auro Pharma Limited), a wholly owned subsidiary of the Company (Auropharm), for transfer of the Company’s domestic branded generic pharmaceutical formulations products business, as a going concern on a slump sale basis to Auropharm. In continuation to the above and in compliance with Regulation 30 and other applicable provisions of the SEBI LODR Regulations, this is to inform that the terms of the BTA are complete and consequently the domestic branded generic pharmaceutical formulations products business is being undertaken in Auropharm Limited with effect from July 1, 2026.
