PROCEEDING OF 19TH ANNUAL GENERAL MEETING OF THE MEMBERS OF
JINKUSHAL INDUSTRIES LIMITED HELD ON WEDNESDAY, 12TH AUGUST 2026 AT
04.00 P.M. AT VIMITARA, SHANTI NAGAR, INDRAVATI COLONY, RAIPUR,
CHHATTISGARH 492001 INDIA.
The 19th Annual General Meeting (“AGM”) of the Company was held Wednesday, 12th August
2026 at 04.00 P.M. at Vimitara, Shanti Nagar, Indravati Colony, Raipur, Chhattisgarh 492001
India.
Time of Commencement: 04.00 P.M. Time of Conclusion: 4:58 P.M.
Following Directors and Key Managerial Personnel were present at the meeting:

MEMBERS:
Total 44 members including Authorized Representatives, attended the meeting at the venue. The
requisite quorum being present, the Company Secretary called the Meeting to order and welcomed
the Members, Directors, Statutory Auditors, Secretarial Auditor, Scrutinizer and other
stakeholders present at the 19th Annual General Meeting of the Company.
The Company Secretary, on behalf of the Board of Directors and the management, welcomed all
the Members and expressed appreciation for their continued faith, support and confidence in the
Company.
NOTICE OF THE MEETING:
The Company Secretary informed the Members that the Notice convening the 19th Annual General
Meeting, together with the Annual Report of the Company for the financial year ended 31st March
2026, had been circulated to the Members within the prescribed time.
With the consent of the Members present, the Notice convening the 19th Annual General Meeting
was taken as read.
The Company Secretary further informed the Members that the Statutory Auditors’ Report and
Secretarial Audit Report did not contain any qualification, reservation, adverse remark or
disclaimer and, accordingly, the same were also taken as read.
3. REMOTE E-VOTING
The Company Secretary informed the Members that, in accordance with the applicable provisions
of the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 and other applicable laws and regulations, the Company had provided the
facility of remote e-voting to its Members.
The remote e-voting facility commenced on Saturday, 08th August 2026 at 9:00 A.M. and
concluded on Tuesday, 11th August 2026 at 5:00 P.M.
Members who had not exercised their voting rights through remote e-voting and were participating
in the AGM were informed that they could cast their votes through the e-voting facility provided
during the Meeting.
The Company Secretary informed the Members that M/s. Abhishek Jain & Associates, Practising
Company Secretaries, had been appointed as the Scrutinizer to scrutinize the remote e-voting as
well as the e-voting conducted during the AGM and to submit the consolidated Scrutinizer’s
Report.
4. CHAIRMAN’S ADDRESS:
Thereafter, the Company Secretary requested Mr. Anil Kumar Jain, Chairman, to address the
Members.
The Chairman welcomed the Members and expressed his gratitude to the shareholders, employees,
customers, bankers, advisors, auditors, regulators and other stakeholders for their continued
support.
He highlighted the successful listing of the Company and reaffirmed the Board’s commitment to
good corporate governance, transparency, regulatory compliance and sustainable long-term
growth.
He thereafter invited Mr. Abhinav Jain, Managing Director & CEO, to address the Members and
take the proceedings forward.
5. MANAGING DIRECTOR’S ADDRESS
Mr. Abhinav Jain thanked the Chairman and welcomed the Members.
Mr. Abhinav Jain, Managing Director & CEO, addressed the Members and apprised them of the
Company’s performance during Financial Year 2025-26, its international business, financial
performance, development of the HexL brand, organisational strengthening and future growth
priorities.
He also expressed his appreciation to the shareholders, employees, customers, business partners,
bankers, investors, regulatory authorities and other stakeholders for their continued support.
He thereafter requested the Company Secretary to take the proceedings forward.
6. BUSINESS OF THE MEETING
The Chairman thanked the Managing Director and proceeded to take up the business as set out in
the Notice convening the 19th Annual General Meeting.
ORDINARY BUSINESS
ITEM NO. 1 – ADOPTION OF FINANCIAL STATEMENTS
The Chairman informed the Members that the first item of business was to receive, consider and
adopt the Standalone and Consolidated Audited Financial Statements of the Company for the
financial year ended 31st March 2026, together with the Board’s Report and the Auditor’s Report
thereon.
ITEM NO. 2 – RE-APPOINTMENT OF DIRECTOR
The Chairman informed the Members that the second item of business was to consider and approve
the re-appointment of Mr. Anil Kumar Jain (DIN: 00679518) as a Director of the Company, who
retires by rotation and, being eligible, had offered himself for re-appointment.
SPECIAL BUSINESS
ITEM NO. 3 – APPOINTMENT OF SECRETARIAL AUDITORS
The Chairman informed the Members that the third item of business was to consider and approve
the appointment of M/s. Abhishek Jain & Associates, Practising Company Secretaries, as the
Secretarial Auditors of the Company in accordance with the applicable provisions of the
Companies Act, 2013
ITEM NO. 4 – CHANGE IN DESIGNATION OF MANAGING DIRECTOR
The Chairman informed the Members that the fourth and final item of business was to consider
and approve the change in designation of Mr. Abhinav Jain (DIN: 07811559) from Whole-Time
Director to Managing Director of the Company, subject to the approval of the Members and in
accordance with the applicable provisions of law.
There being no further business items to be discussed, the Chairman handed over the proceedings
to the Company Secretary to proceed with the voting process.
7. VOTE OF THANKS AND CONCLUSION
The Company Secretary informed the Members that those who had not cast their votes through
remote e-voting could now cast their votes through the e-voting facility provided during the
Meeting. The e-voting facility would remain open for 30 minutes.
Further, he placed on record the Company’s appreciation to all the shareholders for being part of
this important milestone in the journey of the Company, being its first AGM after listing.
Thereafter, the 19th Annual General Meeting was concluded with a vote of thanks to the Chair.
