Tower, Dalal Street, Mumbai – 400 001 Dear Sir, Sub: Outcome of Board Meeting of the Company held on 12/08/2026 Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that Board of Directors of the Company at its meeting held on 12/08/2026, has inter- alia considered and approved the following business: 1. Standalone Un-audited Financial Results of the Company for the quarter ended June 30, 2026; 2. Took note of Review Report received from Statutory Auditor of the company for the quarter ended on 30/06/2026. 3. Review of related party transactions for the quarter ended on 30/06/2026. 4. Based on the recommendation of Nomination & Remuneration Committee, continuation of Mr. Chander Mohan Sharma (DIN: 08047336), as Whole time Director upon attaining the age of 70 years on 13-12-2026 for the remainder of his present term that would expire on 19th December, 2027 subject to approval by members at the forthcoming annual general meeting. 5. Based on the recommendation of Nomination & Remuneration Committee, continuation of Mr. Anil Kumar Jain (DIN: 00141322), as Independent Director upon attaining the age of 75 years on 09-01- 2027 for the remainder of his present term that would expire on 13th August, 2029 subject to approval by members at the forthcoming annual general meeting. 6. Based on the recommendation of Nomination & Remuneration Committee, appointment of Mr. Bhim Sain Goyal (DIN: 02139510) as an Additional Director on the board of the Company with immediate effect and he shall act in the capacity of an Independent Director and shall hold office for a period of five consecutive years commencing from 12th August, 2026 till 11th August, 2031 (both days inclusive), not liable to retire by rotation subject to ratification of his appointment as Director by members at the forthcoming annual general meeting. 7. Amendment of main objects of the memorandum of association subject to shareholders’ approval at the ensuing annual general meeting. 8.
