In terms of Regulation 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 {SEBI (LODR) Regulations, 2015}, we wish to inform that the Board of Directors of the
Company, at their meeting held today August 12, 2026 inter alia, approved the following items:
1. Unaudited Financial Results for the quarter ended June 30, 2026
The Standalone Unaudited Financial Results of the Company along with Limited Review Report issued by
M/s. Aayush Bohra A & Co., Statutory Auditors for the quarter ended June 30, 2026 prepared in terms
of Regulation 33 of Chapter IV of the SEBI (LODR) Regulations, 2015 are enclosed.
2. Enhancement in overall Borrowing Limits of the Company
The Board of Directors considered and approved the enhancement of the overall borrowing limits of the
Company under Section 180(1)(c) of the Companies Act, 2013, up to Rs. 200 Crore (Rupees Two Hundred
Crore Only), over and above the aggregate of the Company’s paid-up share capital and free reserves,
subject to the approval of the Members of the Company by way of a Special Resolution at the ensuing
16th Annual General Meeting of the Company.
3. Appointment of M/s. N N Kumar & Associates, as the Internal Auditors of the Company
M/s. N N Kumar & Associates, Chartered Accountants, Chennai having Firm Registration No. 0015049S
as the Internal Auditors of the Company for the financial year 2026-27.
The meeting commenced at 04.00 P.M. and concluded at 05.05 P.M.

1.Previous period figures have been regrouped and reclassified wherever necessary.
2.The company operates under single segment viz., Trading in Coal and has only one reportable segment in accordance with
Ind AS 108.
3.The above financial results were reviewed and approved by the Audit Committee and the Board of Directors at their
respective Meetings held on August 12, 2026 and have been subjected to Limited Review by the Statutory Auditors.
4, This statement has been prepared in accordance with Companies (Indian Accounting Standards) Rules, 2015 (Ind AS)
prescribed under Section 133 of the Companies Act, 2013 and other accounting principles generally accepted in India and in
terms of Regulation 33 of the SESI (LODR) Regulations, 2015.
5. The above results for the quarter ended 30.06.2026 are available on the website of BSE (www.bseindia.com) and on the
Company's website (www.chennaiferrous.com).
6. The figures for the quarter ended 31.03.2026 is the balancing figure between the audited figures in respect of the full
financial year and the published yeatro date figures up to the third quarter of the respective financial year, which was
subjected to limited review by the statutory auditors.

To The Board of Directors CHENNAI FERROUS INDUSTRIES LIMITED
We have reviewed the accompanying statement of Unaudited Standalone Financial Results of
Chennai Ferrous Industries Limited (“the Company”) for the quarter ended June 30, 2026 (“The
Statement”). The statement has been prepared by the company pursuant to the requirement of
Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
(“Listing Regulations”), as modified by Circular No. CIR/CFD/CMD1/80/2019 dated July 19, 2019
(“the Circular”).
The Company's Management is responsible for the preparation of the Statement in accordance with
the recognition and measurement principles laid down in Indian Accounting Standard 34, (Ind AS
34) "Interim Financial Reporting" prescribed under Section 133 of the Companies Act, 2013 as
amended, read with relevant rules issued thereunder and other accounting principles generally
accepted in India and in compliance with Regulation 33 of the Listing Regulations. The Statement
has been approved by the Company's Board of Directors. Our responsibility is to express a conclusion
on the Statement based on our review.
We conducted our review in accordance with the Standard on Review Engagement (SRE) 2410,
“Review of Interim Financial Information Performed by the Independent Auditor of the Entity”
Issued by the Institute of Chartered Accountants of India. This Standard requires that we plan and
perform the review to obtain moderate assurance as to whether the financial statements are free of
material misstatement. A review of interim financial information is limited primarily to inquiries of
company personnel and analytical procedures applied to financial data and thus provided less
assurance than an audit. We have not performed an audit and accordingly, we do not express an audit
opinion.
Based on our review conducted as above, nothing has come to our attention that causes us to believe
that the accompanying statement of unaudited financial results prepared in accordance with
applicable accounting standards as prescribed by Section 133 of the Companies Act, 2013, as
amended read with relevant rules issued thereunder and other recognized accounting practices and
policies, has not disclosed the information required to be disclosed in terms of Listing Regulations
read with the Circular, including the manner in which it is to be disclosed , or that it contains any
material misstatement.
