Intimation regarding withdrawal of NCD issuance.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR Regulations”), we wish to inform you that the Board of Directors of the Company, at its meeting held on 15th May 2026, had approved the issuance of Senior, Secured, Rated, Listed, Redeemable, Taxable, Transferable, INR denominated Non-Convertible Debentures aggregating up to ₹75,00,00,000/- (Rupees Seventy-Five Crore Only), on a private placement basis, subject to applicable approvals and completion of necessary formalities. Subsequently, due to internal considerations, the Company has decided not to proceed with the aforesaid proposed issuance of NCDs. Accordingly, the Board of Directors, at its meeting held today i.e. Wednesday, 12th August 2026, has resolved to withdraw and rescind the earlier approval for the proposed issuance of NCDs. We clarify that the aforesaid NCDs have not been issued/allotted by the Company. This is for your information and records.
