Dear Sir/Madam,
With reference to aforementioned email dated May 27, 2026 for delay in appointment of women
director under Regulation 17(1) of SEBI LODR Regulations, we hereby submit the following:
The delay in appointment of Woman Director occurred due to the time involved in identification and
selection of a suitable candidate for the position. However, the Company has subsequently appointed
the Woman Director and ensured compliance with the provisions of Regulation 17(1) of the SEBI
(LODR) Regulations, 2015. The Board shall take necessary steps to ensure timely compliance with
applicable regulatory requirements going forward.
Further, the Company has submitted an application to the Stock Exchange seeking waiver of the
fine, and the said application is currently under process with the Stock Exchange.
