Dear Sir/Ma’am,
With reference to the above cited subject, we would like to inform you that the Board of Directors in its
Meeting held on Wednesday, August 12, 2026 at 2:00 P.M. at the Corporate Office of the Company
at 1* Floor, Anjana Complex, Aroor-Vyttila Bypass Road, Kundanoor, Ernakulam - 682 304, with video
conference facility available, inter alia took the following decisions:
1. Considered and approved the Un-audited Financial Statements for the quarter ended
June 30, 2026 along with Limited Review Report from the Company's Statutory Auditors and the
same is attached herewith. The Board approved the write-off of X38.90 lakhs out of the total
building value of X71.63 lakhs, representing the portion of the building that has lost its utility
and from which no future economic benefits are expected. Accordingly, the amount of X38.90
lakhs has been charged to the Statement of Profit and Loss during the quarter.
2. Considered and approved the Board of Directors and Management Discussion & Analysis Report
for the year ended 31° March, 2026.
3. The Board took on record and approved the proposal for the re-appointment of Mr. Varghese
Kurian as the Managing Director and Chairman of the Company for a further term of 5 years
upon completion of his existing tenure, subject to the approval of the shareholders at the
ensuing Annual General Meeting (AGM).
4. The Board took on record and approved the proposal for the re-appointment of
Mrs. Lizhyamma Kurian as the Whole-time Director of the Company for a further term of 5
years upon completion of her existing tenure, subject to the approval of the shareholders at the
ensuing Annual General Meeting (AGM).
5. The Board took on record and approved the proposal for the re-appointment of Mr. Jeeben
Varghese Kurian s the Executive Director and CEO of the Company for a further term of 5
The Board took on record and approved the proposal for the re-appointment of Mr. Shaji
Kalladayil Mathew as the Whole-time Director of the Company for a further term of 5 years
upon completion of his existing tenure, subject to the approval of the shareholders at the
ensuing Annual General Meeting (AGM).
The Board considered and approve the proposal for re-appointment of Mr. M.K Suresh,
Chartered Accountant (Membership No. 026896), as Internal Auditor of the Company for the
Financial Year 2026-27.

10. The Board appointed Mr. Harikrishnan R, Practising Company Secretary (CP No. 3132) as
Scrutinizer to conduct E-voting and Voting through Poll of 81 Annual General Meeting for the
year ended 31% March 2026, in a fair and transparent manner.
The meeting of the Board commenced at 2.00 PM and concluded at 04.35 PM.
