Unaudited Financial Results ) _ The Board considered and approved the Unaudited Financial Results (Standalone and . Consolidated) of the Company for the quarter ended 30 June 2026. A copy of the Unaudited Financial Results (Standalone and Consolidated) for the quarter ended 30 June 2026, along with the Limited Review Reports issued by the Statutory Auditors on the said financial results, is enclosed herewith. 2. Appointment of Mrs. Deepa Agarwal as Managing Director The Board approved the appointment of Mrs. Deepa Agarwal (DIN: 00452947) as the Managing Director of the Company, with effect from 12 August 2026, subject to the approval of the Members at the ensuing Annual General Meeting of the Company. The requisite disclosures relating to the appointment of Mrs. Deepa Agarwal, as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13 July 2023, are enclosed herewith as Annexure - A. 3. Proposed Kraft Paper Manufacturing Project through Wholly Owned Subsidiary With reference to the Company's earlier intimation regarding the incorporation of its wholly owned subsidiary, Kay Pulp and Paper Mills Private Limited, incorporated on 15 July 2026, the Board discussed the proposed establishment of a state-of-the-art Kraft Paper Manufacturing Plant through the said subsidiary. The proposed facility is envisaged to be equipped with modern machinery and advanced manufacturing technology and is expected to have an installed production capacity of 75,000 Tonnes Per Annum (TPA). The project is expected to be commissioned during Financial Year 2027-28. Commercial production is anticipated to commence thereafter, and the financial performance of the subsidiary is expected to be reflected in the consolidated financial statements of the Company from Financial Year 2028-29 onwards, subject to the commencement of commercial operations and applicable accounting requirements. Upon implementation and commissioning of the project, the expected revenue from the project during the first year of commercial operations is estimated to be approximately =200 crore. The above project is presently at the planning/development stage, and further material developments, as and when they arise, will be duly disclosed to the Stock Exchange in accordance with the applicable provisions of the SEBI Listing Regulations.
