Appointment of Mr. Tarun Nandwani as Chief Executive Officer (CEO) and Key Managerial Personnel (KMP): We refer to our earlier communication dated 9th June 2026, wherein the Company had intimated about the resignation of Mr. Virender Jeet from the position of Chief Executive Officer (Key Managerial Personnel) of the Company, effective from the close of business hours on 31st August 2026, which was noted by the Board at its meeting held on 12th June 2026. In view of the above and based on the recommendation of the Nomination & Remuneration Committee, the Board has approved the appointment of Mr. Tarun Nandwani (currently designated as the Chief Operating Officer of the Company) as the Chief Executive Officer (CEO) and Key Managerial Personnel (KMP) of the Company for a period of 18 (eighteen) months, with effect from 01st August 2026 to 31st January 2028. 2. Appointment of Mr. Pramod Kumar as Chief Growth Officer (CGO) and Key Managerial Personnel (KMP): Based on the recommendation of the Nomination & Remuneration Committee, the Board has approved the appointment of Mr. Pramod Kumar (currently designated as Vice President – Sales with the Company's Singapore subsidiary) as the Chief Growth Officer (CGO) and Key Managerial Personnel (KMP) of the Company, with effect from 01st August 2026. 3. Designation of Mr. T. S. Varadarajan as Vice Chairman: The Board has approved the designation of Mr. T. S. Varadarajan (DIN: 00263115), Whole-time Director of the Company, as Vice Chairman of the Company with immediate effect. Mr. T. S. Varadarajan shall continue to serve as the Whole-time Director of the Company, and the designation of Vice Chairman shall be in addition to his existing role. He shall discharge such duties, responsibilities and exercise such powers as may be entrusted to him by the Board from time to time.
