Pursuant to the provisions of the Regulation 30 of SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), as amended, we
wish to inform you that the Board of Directors at its meeting held on Wednesday,
August 12, 2026 commenced at 12:30 PM (IST) and concluded at 02:10 PM (IST) has
inter-alia transacted the following business:
A. UNAUDITED FINANCIAL RESULTS:
1. Approved the Unaudited Financial Results for the First Quarter Ended June 30,
2026, pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure
Requirements), Regulations 2015
B. RE-APPOINTMENT OF INDEPENDENT DIRECTOR
1. Approved the re-appointment of Mr. Deepak N. Shah (DIN: 07356807) as an
Independent Director for a second term of 5 (five) year with effect from August
11, 2027

Disclosure as required under Para A Part A of Schedule III of SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 is annexed
herewith as Annexure A.
C. ANNUAL GENERAL MEETING:
1. The 80th Annual General Meeting (“AGM”) of the Shareholders of the
Company is scheduled to be held on Tuesday, September 22, 2026, through
Video Conferencing (VC) / Other Audio Visual Means (OAVM).
2. The cut-off date for the purpose of AGM shall be August 21, 2026 and the
Notice along with Annual Report for the Financial Year 2025-26 shall be
dispatched to the Shareholders on or before August 27, 2026.
3. Appointment of Mr. Jigar Vyas (FCS No. 8019, CP No.14468) of M/s Jigar Vyas
& Associates, Company Secretary in Practice, Surat as Scrutinizer for
conducting e-voting at the AGM and remote e-voting process in a fair and
transparent manner.
D. BUSINESS TO BE TRANSACTED AT THE AGM:
1. To receive, consider and adopt the Audited Financial Statements of the
Company for the Financial Year ended March 31, 2026, the Report of the Board
of Directors and Auditor thereon.
2. To appoint a director in place of Mr. Alok P. Shah (DIN: 00218180), who retires
by rotation in terms of Section 152(6) of the Companies Act, 2013 and being
eligible, offers himself for re-appointment.
3. To re-appoint Mr. Deepak N. Shah (DIN: 07356807) as an Independent
Director for a second term of five consecutive years.

Notes to Financial Results:
1. These financial results have been prepared in accordance with the Indian Accounting Standards (‘Ind AS')
notified under Section 133 of the Companies Act, 2013 (‘Act’) read with the Companies (Indian Accounting
Standards) Rules 2015 as amended and other recognised accounting practices and policies to the extent
applicable.
2. The Company's business segment consists of a single segment of "trading in commodities and other
commodity related activities" in accordance with Ind AS 108 - 'Operating Segments’ notified pursuant to the
Companies (indian Accounting Standard) Rules, 2015.
3. During the previous year, the Company re-assessed the classification of certain land and buildings previously
classified under Property, Plant and Equipment (“PPE”). As the said premises are not being used for
operational or any other business purposes of the Company and the land is intended to be held for capital
appreciation and strategic monetization, the land has been reclassified as Investment Property in
accordance with Ind AS 40 — investment Property. Further, based on an external valuation report, the
recoverable/residual value of the building was assessed at Rs. 20 lakhs against its carrying amount of Rs.
50.54 lakhs. Accordingly, the Company recognized an impairment loss of Rs. 30.54 lakhs in the Statement of
Profit and Loss in accordance with Ind AS 36 — Impairment of Assets.
4. The Company has identified a non-compliance with Regulation 23 of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015, in relation to cert
