Sub.: Intimation under Regulation 30 - Outcome of Board Meeting dated 11th August, 2026
Pursuant to Regulation 30 and Regulation 33 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulation 2015, we would like to inform that the Board of
Directors of the Company at its meeting held today has inter alia:
1. Approved the Unaudited Financial Results (Standalone and Consolidated) as per IND-AS for the
quarter ended June 30, 2026 along with the Limited Review Report of the Auditors is attached as
Annexure – A.
2. In accordance with amendments to the SEBI (Listing Obligations and Disclosure Requirements)
(Third Amendment) Regulations, 2024 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-
2/CIR/P/2024/185 dated 31st December, 2024, read with BSE Circular No. 20250102-4 and NSE
Circular No. NSE/CML/2025/02 dated 2nd January, 2025, the Integrated Filing (Financial) for the
quarter ended 30th June, 2026 is enclosed herewith as Annexure – B.
3. Approved to hold the 54th Annual General Meeting of the Company on Monday, September 28, 2026
at 4.00 P.M. through Video Conferencing (“VC”)/ Other Audio-Visual Means (“OAVM”). The
notice for the AGM along with the Explanatory statement, Directors Report and Corporate
Governance Report, Book closures dates and the related matters concerning the AGM were approved
by the Board of Directors.
4. Cut-off date for the purpose of remote e-voting in the Annual General Meeting of the Company will
be Monday, September 21, 2026.
The Board Meeting commenced at 4.30 P.M. and concluded at 9.00 P.M.

Business Commentary:
a) Sales Performance:
Q1 sales volumes in export segment hit us significantly because of the export freight and
container availability related issues, impacted by the continuing war situation. Approximately
1800 MT of finished goods are overdue for shipment. Average realizations declined by ~18.5%
YoY, reflecting sales of inventory manufactured during the 2025 crop season at substantially
lower raw material costs. Pricing continues to remain a pure pass-through of raw material
movements.
b) Fruit & Vegetable Pulps:
•Mango:
The fruit price of Mango crop was lower in the current procurement season as compared to
last year. This will continue the low realization in the current year.
• Tomato:
We are unable to execute canned Tomato products against confirmed orders due to poor
quality of Raw Materials.
c) Spray Dried powders:
There was a 22% growth in volumes in this division in this quarter.
d) Frozen Food:
Frozen food continues to witness growth with volumes up ~10% and value up ~19.5% YoY in
Q1 FY’27. Improved realizations reflect a higher contribution from value-added products. We
are witnessing a growing demand from the US market.
e) Kusum Spices:
The spice business grew by 14.7% YoY in Q1 FY’27
f) Tetra Recart:
We are continuing to expand our international presence in Tetra Recart while evaluating
additional avenues to enhance capacity utilization. Repeat business from existing customers
is a testament to the growing acceptance of our offerings in international markets.
