Management: Good afternoon dear shareholders. I welcome all of you to the Equity Shareholders Meeting of BASF India
Limited being held today on 24th of June 2026, pursuant to the order passed by the honorable National
Company Law Tribunal in connection with the demerger of our company's agricultural solutions business
into BASF Agricultural Solutions India Limited. I also welcome Mr. V. Nallasenapathy, ex-NCLT Technical
Member and Chairperson appointed by the National Company Law Tribunal for this meeting. I also
welcome Mr. Alexander Gerding, Managing Director, Mr. Narendranath J. Baliga, Chief Financial Officer
and Whole-Time Director, and representatives of the statutory and secretarial audit team for joining the
meeting.
V. Nallasenapathy: I am Nallasenapathy, appointed as the Chairperson of this meeting by the honorable National Company
Law Tribunal, Mumbai bench, to conduct the proceedings today pursuant to the order dated 8th April 2026
in the matter of scheme of arrangement amongst BASF India Limited and BASF Agricultural Solutions India
Limited and their respective shareholders. I appreciate you joining us virtually today and I have been
informed that more than 30 members are present, the quorum required in terms of the order of the
honorable NCLT.
Accordingly, this meeting is called to be in order. The meeting is held through video conferencing or other
audio-visual means. Therefore, the physical attendance of the equity shareholders has been dispensed
with and the facility for appointment of proxies by the equity shareholders will not be available for the
meeting. The deemed venue for the meeting shall be the registered office of the company.
The company has engaged the services of National Securities Depository Limited, NSDL, for the purpose
of providing facility of video conferencing, voting by remote e-voting, and e-voting during the meeting so
as to enable the equity shareholders to cast their votes.
I would further like to inform you that the notice of the meeting, the statement under section 102 read with
section 230 to 232 of the Companies Act 2013, the rules framed thereunder, SEBI listing regulations,
secretarial standards, and other applicable SEBI circulars, the scheme of arrangement and other relevant
documents in connection with the scheme and as referred to in the notice had been dispatched to the
shareholders through electronic means via email to those shareholders whose email addresses were
registered with the company or registrar and transfer agents or depository participants or depositories as
on 22nd May 2026.
In the notice of the meeting, the resolution proposed for adoption by the equity shareholders is mentioned.
I take the same to have been read by the equity shareholders. In addition, the advertisements containing
the details of the meeting, sending the notice to the meeting, and details on e-voting were duly published
in Business Standard in English and Lok Satta in Marathi on 23rd May 2026 in accordance with the
directions of the honorable NCLT.

Limited to apprise you about the demerger scheme and its rationale.
