S aramma Thomas 0 0 TOTAL 2,08,173 0.0745 The Outgoing Members of the Promoter Group have confirmed that they satisfy all the conditions prescribed under Regulation 31A(3)(b)(i) to (vii) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time. They have further confirmed that they are financially and operationally independent of Mr. C. J. George, Promoter and do not have any direct or indirect business association or common commercial interest with him, including through any entity that is under common control or influence. Further, the aggregate shareholding of the Outgoing Members of the Promoter Group constitutes only 0.0745% of the total paid-up equity share capital of the Company as on June 30, 2026, while the continuing promoters collectively hold 38.41% of the total shareholding. Consequently, the proposed reclassification will not result in any change in the control and management of the Company. The aforesaid requests for reclassification shall be placed before the Board of Directors of the Company at its ensuing meeting scheduled to be held on July 22, 2026, for consideration, in accordance with Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The proposed reclassification shall be subject to the approval of the Board of Directors, the shareholders of the Company, and the Stock Exchanges, as may be required under the applicable regulatory framework.
