Considered and approved the Unaudited Standalone and Consolidated Financial Results of the Company for the quarter ended June 30, 2026. 2. Based on the recommendation of Nomination and Remuneration Committee and subject to the approval of Exchanges and shareholders, approved the appointment of Mr. Dhvanil Sanjiv Dharia (DIN: 10698428) as Additional Director and Whole Time Director for a period of 5 (five) years with effect from August 11, 2026 to August 10, 2031 (Both the days inclusive). Further it is hereby confirmed that he is not debarred from holding the office of director by virtue of any SEBI order or any such authority. The requisite details in terms of the SEBI Master Circular dated November 11, 2024, are provided in Annexure A. 3. Mr. Natarajan Srinivasan, Independent Director (DIN: 00123338) of the Company, shall be completing his tenure as Independent Director on August 18, 2026, and consequently shall cease to be a Director of the Company with effect from close of business hours on August 18, 2026. The Board of Directors noted and accepted his request and places on record its sincere appreciation for the valuable contributions made during his tenure as Independent Director of the Company. He is also a CFA charter holder. He has been associated with DAM Capital since its inception in 2019 and was part of the core team responsible for setting up the Investment Banking Division. As a part of the senior management of the Company, he is engaged in various strategic initiatives.
