Regulations, 2015
Pursuant to Regulation 30 read with Para B of Part A of Schedule III of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) read with SEBI Master Circular
No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026, we hereby submit the
details as per “Annexure-A” in relation to a litigation pertaining to a Land situated at Haldia,
West Bengal, which was transferred in the name of the Company from “Manaksia Limited” w.e.f.
October 01, 2013 pursuant to a Scheme of Demerger involving Manaksia Limited and Manaksia Steels
Limited sanctioned by Hon’ble High Court, Calcutta vide its Order dated March 24, 2014.
The aforesaid disclosure is being made by the Company based on the information received from
Manaksia Limited as the fact of the transfer pursuant to the said Demerger has not been updated in
the records of concerned Statutory Authority.

Brief Details of Dispute: The petitioner (Manaksia Ltd.)
filed a writ petition seeking to set aside Orders under
Memo dated February 05, 2008, and July 04, 2008,
issued by the Chief Executive Officer, Haldia
Development Authority (HDA) wherein HDA asked the
Petitioner to pay the land premium at an enhanced rate
of Rs. 15 lakhs per acre for 35 acres of land out of
previously agreed rate of 5.50 lakhs per acre.
The High Court vide its Judgment dated July 27, 2026
directed that the petitioner shall deposit the remaining
enhanced land premium of Rs. 3,32,50,000/- (Rupees
Three Crores Thirty-Two Lakhs Fifty Thousand only) in
favor of HDA within a period of Six weeks from the date
of the Order.
2. Expected financial implications, if any, Rs. 3,32,50,000/- (Rupees Three Crores Thirty-Two
due to compensation, penalty etc. Lakhs Fifty Thousand only) is the total amount payable
pursuant to the Order.
Further, the Company envisages no adverse financial
implications in its working due to imposition of the
demand.
The Petitioner Company may prefer for an appeal
against the Order.
3. Quantum of claims Rs. 3,32,50,000/- (Rupees Three Crores Thirty-Two
Lakhs Fifty Thousand only).
